２ 自己株式の取得等の状況, the section on acquisitions and other movements of treasury shares in the annual securities report of Hitachi, Ltd. for its 157th fiscal year, April 2025 to March 2026, filed on EDINET on June 22, 2026, occupies pages 70 and 71 of 211. It opens with one line, 【株式の種類等】 会社法第155条第３号、第７号及び第13号に基づく普通株式の取得, acquisitions of common shares under items 3, 7 and 13 of Article 155 of the Companies Act. Four numbered parts follow: (1) acquisitions by resolution of the shareholders' meeting, (2) acquisitions by resolution of the board, (3) acquisitions based on neither, and (4) the disposal and holding of the shares acquired. This piece reads the four parts, sets them beside the same section on pages 76 and 77 of 209 in the 156th report, filed June 25, 2025, follows the figures to the other pages where they reappear, and then reads six monthly 自己株券買付状況報告書, reports on the status of purchases of own shares, filed between April and September 2026.

Part (1), 株主総会決議による取得の状況, is one line in both reports: 該当事項はありません, not applicable. Part (2), 取締役会決議による取得の状況, has three blocks in the 157th report and two in the 156th, each with the same seven rows: the resolution with its ceiling in shares and in yen, shares acquired before the fiscal year, shares acquired during the fiscal year, the remaining balance of the resolution, the unexercised ratio at the fiscal year-end, shares acquired in 当期間, the period after the year-end, and the unexercised ratio at the filing date. The first block on page 70 is 取締役会（2025年４月28日）での決議状況, the board resolution of April 28, 2025: 140,000,000 shares and 300,000,000,000 yen (US$1,831.5 million), each marked 上限, a ceiling, with 取得期間 2025年４月30日〜2026年３月31日, an acquisition period from April 30, 2025 to March 31, 2026. 当事業年度における取得自己株式 is 68,675,100 shares and 299,999,409,241 yen (US$1,831.5 million); 残存決議株式の総数及び価額の総額 is 71,324,900 shares and 590,759 yen (US$3,607); 当事業年度の末日現在の未行使割合(％) is printed as 50.9 for shares and 0.0 for value, 当期間 is a dash in both columns, and the 提出日現在 line repeats 50.9 and 0.0. The note states 当該取締役会において、取得方法は東京証券取引所における市場買付と決議しました, that the board resolved on market purchase on the Tokyo Stock Exchange as the method. The monthly report for March 2026, filed April 14, 2026, carries the same resolution with a dash in its 報告月における取得自己株式数 row, a cumulative line of 68,675,100 shares and 299,999,409,241 yen (US$1,831.5 million), 自己株式取得の進捗状況（％） of 49.05 for shares and 100.00 for value, and a third note: 2025年12月17日の自己株式の取得をもちまして、2025年４月28日開催の取締役会における決議による自己株式の取得は終了いたしました, the acquisitions under the resolution ended with the purchase of December 17, 2025.

The same resolution appears a year earlier as the second block on page 76 of the 156th report, where the fiscal-year rows are dashes and the 当期間 row prints 2,191,900 shares and 8,478,558,796 yen (US$51.8 million), with 提出日現在の未行使割合 of 98.4 for shares and 97.2 for value; note 2 there limits the row to acquisitions before June 1, 2025. The block above it is the resolution of the year before, 取締役会（2024年４月26日）での決議状況: 105,000,000 shares and 200,000,000,000 yen (US$1,221.0 million), with an acquisition period from April 30, 2024 to March 31, 2025. The 156th report prints 56,227,700 shares and 199,999,920,722 yen (US$1,221.0 million) acquired in the fiscal year, a remaining balance of 48,772,300 shares and 79,278 yen (US$484), and an unexercised ratio of 46.4 for shares and 0.0 for value at both the year-end and the filing date. Its note 2 states that the company carried out a five-for-one share split on July 1, 2024, 当社は、2024年７月１日付で１株につき５株の割合をもって株式分割を行っており, and that the share counts are stated as if the split had taken place at the start of the fiscal year. The 156th report's subsequent-events note, 注30 on page 179, prints the April 28, 2025 resolution with the ceilings written as 1億4,000万株(上限) and 3,000億円(上限) (US$1,831.5 million), the ratio 発行済株式総数(自己株式を除く)に対する割合 as 3.06 percent, and the reason: 当社は、中長期的な企業価値の向上と、継続的な配当及び機動的な自己株式の取得の実施を通じて、株主へ利益を還元していくことを重要な経営課題と位置づけています。この度、当社の財務状況及び資産売却の進捗等に鑑み、株主への利益還元の拡充のため、自己株式の取得を実施することを決定しました, that returning profit to shareholders through continuous dividends and agile acquisitions of own shares is a key management issue, and that in view of the company's financial position and the progress of asset sales it decided on the acquisition to expand shareholder returns.

The second block on page 70 of the 157th report is 取締役会（2026年１月29日）での決議状況: 30,000,000 shares and 100,000,000,000 yen (US$610.5 million), each 上限, with 取得期間 2026年１月30日〜2026年４月30日. 当事業年度における取得自己株式 is 10,803,800 shares and 52,055,401,296 yen (US$317.8 million); 残存決議株式の総数及び価額の総額 is 19,196,200 shares and 47,944,598,704 yen (US$292.7 million); the year-end unexercised ratio is 64.0 for shares and 47.9 for value; 当期間における取得自己株式 is 9,753,700 shares and 47,944,319,005 yen (US$292.7 million); and 提出日現在の未行使割合 is 31.5 for shares and 0.0 for value. The March 2026 monthly report prints this resolution as its second block with fourteen dated rows from ３月４日 to ３月24日, a 計 line of 10,803,800 shares and 52,055,401,296 yen (US$317.8 million), a cumulative line of the same two figures, and 進捗状況 of 36.01 for shares and 52.06 for value; the largest row is ３月９日, 912,700 shares for 4,238,369,974 yen (US$25.9 million), and the smallest ３月12日, 605,000 shares for 2,946,956,996 yen (US$18.0 million). The April report, filed May 14, 2026, prints one block, the same resolution, with seventeen dated rows from ４月１日 to ４月23日, a 計 line of 9,753,700 shares and 47,944,319,005 yen (US$292.7 million), 報告月末現在の累計取得自己株式計 of 20,557,500 shares and 99,999,720,301 yen (US$610.5 million), and 自己株式取得の進捗状況（％） of 68.53 for shares and 100.00 for value. The 計 line of the April report and the 当期間 row of the annual report print the same two figures.

The third block, on page 71, is 取締役会（2026年４月27日）での決議状況: 160,000,000 shares and 500,000,000,000 yen (US$3,052.5 million), each 上限, with 取得期間 2026年４月28日〜2027年３月31日. The fiscal-year rows are dashes, 残存決議株式の総数及び価額の総額 repeats the two ceilings, the year-end ratio is 100.0 and 100.0, 当期間における取得自己株式（注）２ is 6,656,500 shares and 32,901,360,700 yen (US$200.9 million), and 提出日現在の未行使割合 is 95.8 for shares and 93.4 for value. Note 2 states: 当期間における取得自己株式には、2026年６月１日から提出日までの間に取得した自己株式を含みません, shares acquired from June 1, 2026 to the filing date are not included. The resolution is also 注30 後発事象 on page 180, headed 重要な自己株式の取得, which states that the board set the acquisition frame 会社法第459条第1項及び当社定款第32条の規定に基づき, under Article 459, paragraph 1 of the Companies Act and Article 32 of the articles of incorporation; prints the ceilings as 1億6,000万株(上限) and 5,000億円(上限) (US$3,052.5 million), the ratio to issued shares excluding treasury shares as 3.56 percent, and the method as 東京証券取引所における市場買付を予定. The reason is the sentence printed a year earlier with one word changed: 安定的な配当, stable dividends, where the 156th report's note had 継続的な配当, continuous dividends. The same note is repeated as (重要な後発事象) (1) on page 196 of the parent-company statements. ３ 配当政策 on page 72 sets out the frame in three sentences: 当社は、中長期的な企業価値の向上と配当及び自己株式の取得の実施を通じて、株主へ利益を還元していくことを重要な経営課題と位置付けています; 配当と自己株式の取得については、創出するキャッシュを前提とした、中長期的な成長投資及び株主還元への配分の在り方や、配当と自己株式の取得を合わせた株主還元全体の水準、並びに財務状況や資本構成への影響を総合的に考慮した上で、経営環境等に応じて決定していきます; and この考え方のもと、配当については、安定的に実施、自己株式の取得については、機動的に実施していきます, dividends to be paid stably and own shares to be acquired flexibly. The same page prints the year's dividend as 50 yen (US$0.31) per share, an interim dividend of 23 yen (US$0.14) resolved on October 30, 2025 with a total of 104,357 million yen (US$637.1 million), and a year-end dividend of 27 yen (US$0.16) resolved on May 14, 2026 with a total of 121,493 million yen (US$741.7 million).

The May 2026 monthly report, filed June 12, 2026, is the first to carry the April 27 resolution. It prints eleven dated rows from ５月15日 to ５月29日, a 計 line of 7,920,500 shares and 39,438,574,500 yen (US$240.8 million), a cumulative line of the same two figures, and 進捗状況 of 4.95 for shares and 7.89 for value, with the note 取得期間及び取得自己株式（取得日）は約定ベースで記載しております, that the period and the dated rows are on a trade-date basis. The annual report's 当期間 row for the same resolution prints 6,656,500 shares and 32,901,360,700 yen (US$200.9 million). The desk's check that the first nine of the eleven rows, ５月15日 to ５月27日, add to 6,656,500 shares and 32,901,360,700 yen (US$200.9 million) agreed; the two rows after them, ５月28日 and ５月29日, print 657,000 and 607,000 shares. The annual report's note 2 excludes acquisitions from June 1 to the filing date, and the monthly report's note describes its rows as 約定ベース; this piece records the arithmetic and does not say on which basis the annual report's row was compiled.

The reports for June, July and August 2026, filed July 9, August 6 and September 14, carry the resolution forward. August prints twenty rows from ８月３日 to ８月31日, a 計 line of 10,498,200 shares and 57,226,868,800 yen (US$349.4 million), a cumulative line of 40,223,400 shares and 202,763,432,200 yen (US$1,237.9 million), and 進捗状況 of 25.14 for shares and 40.55 for value; the largest of the twenty rows is ８月19日, 565,400 shares for 2,976,404,900 yen (US$18.2 million), the smallest ８月14日, 489,900 shares for 2,819,313,400 yen (US$17.2 million). The EDINET index for the weekdays from October 1 to October 12, 2026 returned no row for E01737 with docTypeCode 220, so the report for September is not read here.

Part (3), 株主総会決議又は取締役会決議に基づかないものの内容, has two tables in each report. The first, 会社法第155条第７号の規定に基づく取得, prints 46,119 shares and 206,082,738 yen (US$1.3 million) for the fiscal year and 4,654 shares and 22,896,154 yen (US$139,781) for 当期間 in the 157th report, with note 1 stating 会社法第192条第１項の規定に基づく単元未満株式の買取請求により取得したものです, acquisitions through purchase requests for shares of less than one unit under Article 192, paragraph 1, and note 2 excluding such acquisitions from June 1, 2026 to the filing date. The 156th report's first table printed 84,759 shares and 285,876,545 yen (US$1.7 million) for its fiscal year and 5,150 shares and 18,124,196 yen (US$110,648) for its 当期間, the fiscal-year count restated for the split. The second table, 会社法第155条第13号の規定に基づく取得, prints 42,700 shares for the fiscal year and 1,200 for 当期間 in the 157th report, with a dash in the value column of both rows, and its note states: 当社の執行役及び理事に対し譲渡制限付株式報酬として割り当てた普通株式の一部を無償取得したものです（会社法施行規則第27条第１号）, that part of the common shares allotted to executive officers and corporate officers as restricted stock remuneration was acquired without consideration. The 156th report's second table printed 227,200 shares for its fiscal year and 42,700 for its 当期間; the 42,700 of that 当期間 row and the 42,700 of the 157th report's fiscal-year row are the same count printed in two reports.

Part (4), 取得自己株式の処理状況及び保有状況, on page 71 has a column headed 処分価額の総額（円） beside each 株式数（株） column. The row 引き受ける者の募集を行った取得自己株式, shares disposed of by offering to subscribers, is a dash in both fiscal-year columns and prints 13,404,825 shares and 60,084,983,291 yen (US$366.8 million) for 当期間. 消却の処分を行った取得自己株式, cancellation, prints 46,000,000 shares and 199,505,220,000 yen (US$1,218.0 million) for the fiscal year and dashes for 当期間. The row headed その他（新株予約権の行使に基づき移転した取得自己株式及び単元未満株式の買増請求に基づき売り渡した取得自己株式）, other disposals through the exercise of share acquisition rights and sales on purchase requests for odd lots, prints 236,005 shares and 880,877,454 yen (US$5.4 million) for the fiscal year and 43,385 shares and 194,477,232 yen (US$1.2 million) for 当期間. 保有自己株式数 is 35,798,823 for the fiscal year and 38,766,667 for 当期間, and the note states 2026年６月１日から提出日までの間に、変動した自己の株式に係る株式数を含みません. The 156th report's part (4), on page 77, printed the cancellation of the year before, 56,227,700 shares and 195,598,175,436 yen (US$1,194.1 million); an その他 row, whose heading there also named 譲渡制限付株式報酬に基づき移転した取得自己株式, of 575,715 shares and 1,091,054,622 yen (US$6.7 million) for its fiscal year and 94,650 shares and 329,468,132 yen (US$2.0 million) for its 当期間; and 保有自己株式数 of 2,467,109 and 4,612,209.

The cancellation of 46,000,000 shares reappears on other pages of the 157th report, of which this piece reads five, and in one monthly report: pages 66 and 150 print the share count, pages 115 and 186 print the yen entries, and page 151 describes the effect on capital surplus. Table (4) 発行済株式総数、資本金等の推移 on page 66 prints a dated line, 2026年３月31日（注）４, with △46,000,000 in 発行済株式総数増減数 and 4,535,560,985 in 発行済株式総数残高, dashes in the two 増減額 columns, and 資本金残高 of 466,666 million yen (US$2,849.0 million) and 資本準備金残高 of 184,632 million yen (US$1,127.2 million); note 4 reads 自己株式の消却によるものです. The same table prints the year before's line, 2025年１月27日（注）４, as △56,227,700 and 4,580,341,685, and two lines dated 2025年６月３日 for new shares issued as restricted stock remuneration, 185,700 and 1,033,600 shares. 注16 資本 on page 150 states: 自己株式の消却により、当社の発行済株式総数は、2026年3月31日付で46,000,000株減少し、4,535,560,985株となりました. The consolidated statement of changes in equity on page 115 carries the row 自己株式の消却 with △199,505 in 資本剰余金 and 199,505 in 自己株式, in millions of yen (US$1,218.0 million), against △195,598 and 195,598 (US$1,194.1 million) the year before; page 151 adds that the main movement in capital surplus in the fiscal year was 自己株式の消却による減少, the decrease from the cancellation, and that 資本剰余金の期末残高が負の値になる場合は、利益剰余金から振替を行い、資本剰余金をゼロとしています. The parent-company statement of changes in equity on page 186 prints the same row as △199,505 in その他資本剰余金 and 199,505 in 自己株式, in millions of yen (US$1,218.0 million each), and a row 利益剰余金から資本剰余金への振替 of 200,236 million yen (US$1,222.4 million). The March 2026 monthly report's ２ 処理状況 prints, under 消却の処分を行った取得自己株式（消却日）, the line ３月31日 with 46,000,000 shares and 199,505,220,000 yen (US$1,218.0 million), with a 合計 for the month of 46,000,050 shares and 199,505,436,854 yen (US$1,218.0 million) after a sale of 50 odd-lot shares for 216,854 yen (US$1,324).

The holding of 35,798,823 shares is printed in four other forms. （７）議決権の状況 on page 69 prints 完全議決権株式（自己株式等） as 普通株式 35,813,800 with a dash in the votes column, 完全議決権株式（その他） as 4,495,952,200 shares and 44,959,522 votes, and 単元未満株式 as 3,794,985 shares; ②【自己株式等】 on the same page lists two holders, 株式会社日立製作所 at 東京都千代田区丸の内一丁目６番６号 with 35,798,800 shares under 自己名義所有 and 0.79 percent of issued shares, and 株式会社瑞穂 with 15,000 shares and 0.00 percent, the 計 line being 35,813,800 and 0.79. The 156th report's page 75 printed the same two holders at 2,467,100 and 0.05 percent and 15,000 and 0.00. The consolidated statement of changes in equity on page 115 prints 自己株式の取得 as △352,260 million yen (US$2,150.5 million) for the fiscal year and △200,285 million yen (US$1,222.7 million) for the year before, and 自己株式の処分 as △785 in 資本剰余金 and 880 in 自己株式 (US$4.8 million and US$5.4 million), against △843 and 1,091 (US$5.1 million and US$6.7 million) the year before. The consolidated cash flow statement on page 116 prints 自己株式の取得 as △200,285 and △352,260 in the two years (US$1,222.7 million and US$2,150.5 million) and 自己株式の売却 as 8 and 3, in millions of yen (US$0.05 million and US$0.02 million), with 配当金の支払 of △189,057 and △204,915 (US$1,154.2 million and US$1,251.0 million) above them. The management discussion on page 49 states that financing cash flow was an outflow of 9,710億円 (US$5,928 million), 5,469億円 (US$3,339 million) more than the year before, これは、自己株式の取得による支出の増加や、短期借入金及び長期借入金の純支出額（収入額と支出額の差）が増加したこと等によるものです, which it attributes to the larger outlay on own shares and the larger net repayment of borrowings. For a reader who needs one of these numbers, the report prints it in a fixed place. The ceiling of a resolution and the shares bought against it are in part (2) of the section, with the unexercised ratio as the report's own percentage, and the monthly reports carry the same resolution forward with a progress ratio and dated rows of their own; the three resolutions here are dated April 28, 2025, January 29, 2026 and April 27, 2026, and the one before them April 26, 2024. The cancellation is in part (4), in table (4) of 株式等の状況 as a dated change in issued shares, in the equity statements as a row of two figures, in 注16 as a sentence with a date, and in the March monthly report under a 消却日.
