Tokyo Electron (8035): The three medium-term plan targets and the year's figures

Tokyo Electron's Targets: Three Numbers and One Target Year

④ 中長期的な成長を見据えた取り組み on page 7 of Tokyo Electron Limited's annual securities report for the 63rd term, filed June 22, 2026, carries three numbers and one year: 売上高3兆円以上 (US$18.3 billion), 営業利益率35%以上 and ROE 30%以上, with 2027年3月期 as the target year, the same three numbers and the same year as the 62nd-term report in a reworded sentence. Page 24 names the same three measures as the indicators of the plan's financial model and, with page 25, prints the year's figures: net sales of 2,443,533百万円 (US$14,917.8 million, up 0.5 percent), an operating margin of 25.6 percent (down 3.1 points) and ROE of 29.6 percent, against 2,431,568百万円 (US$14,844.7 million), 28.7 percent and 30.3 percent a year earlier. Page 71 names 連結営業利益率25.6%等 among the measures behind the year's short-term pay, at an expected average payout rate of 64 percent, and page 72 prints 25.6 and 29.6 percent for the 2023 mid-term incentive plan. Beneath ④ sits a five-year investment plan from 2025年3月期, 研究開発投資 1.5兆円以上 (US$9.2 billion), 設備投資 7,000億円以上 (US$4,274 million) and about 10,000 hires, and the report separately prints the year's 研究開発費 of 277,866百万円 (US$1,696.4 million), 設備投資額 of 2,160億円 (US$1,319 million) and a 従業員数 of 20,236, a headcount rather than a hiring total.

1【経営方針、経営環境及び対処すべき課題等】, the item on management policy, environment and issues to be addressed in the annual securities report of Tokyo Electron Limited for its 63rd fiscal year, April 1, 2025 to March 31, 2026, filed on EDINET on June 22, 2026, runs from page 7 to page 10 of 156. It is the first item of 第2 事業の状況 and is organised under six circled numbers: ① 経営方針, management policy; ② ビジョン, vision; ③ 事業環境, business environment; ④ 中長期的な成長を見据えた取り組み, initiatives with a view to medium- to long-term growth, which carries two sub-sections marked ■, 人材に関する取り組み and 環境・社会・ガバナンス(ESG)に関する取り組み, the second with two headings marked ◇, 環境に関する取り組み and ガバナンスに関する取り組み; ⑤ 資本市場との対話, dialogue with capital markets; and ⑥ 資本政策, capital policy, followed on page 10 by a passage in parentheses on a matter at the Taiwanese subsidiary. This piece reads ④, follows the three numbers it names to the pages where the report prints the year's figures for them, follows two of them, operating margin and ROE, to the remuneration provisions that name them, and sets the whole item beside the same item on pages 9 to 11 of 157 in the 62nd-term report filed June 16, 2025.

④ opens with one sentence that carries the targets. 当社グループは、中期経営計画として、売上高3兆円以上、営業利益率35%以上、ROE 30%以上の達成を、2027年3月期を目標年度に取り組んでおります — as its medium-term management plan, the group is working toward the achievement of net sales of 3 trillion yen or more (US$18.3 billion), an operating margin of 35 percent or more and ROE of 30 percent or more, with the fiscal year ending March 2027 as the target year. Three numbers, each with 以上, or more, and one year. The 62nd-term report's sentence on page 9 carried the same three numbers and the same year in different words: 当社グループは、中期経営計画として、2027年3月期までに、売上高3兆円以上、営業利益率35%以上、ROE 30%以上を目指す財務目標を設定しております — the group has set financial targets of net sales of 3 trillion yen or more (US$18.3 billion), an operating margin of 35 percent or more and ROE of 30 percent or more by the fiscal year ending March 2027. The numbers did not change; the verb changed from 設定しております, has set, to 取り組んでおります, is working toward, and the year from までに, by, to 目標年度, target year.

The second sentence names what the plan rests on. 業界最大の出荷実績(累計100,000台以上)及び業界最大の特許保有数(26,000件以上)に基づく幅広い製品ラインアップを軸に — with a broad product line-up based on the industry's largest shipment record, a cumulative 100,000 units or more, and the industry's largest patent holding, 26,000 or more, at its core — the group will offer high-value-added new products and technical services in both semiconductor scaling, 微細化, and advanced packaging, and 中期経営計画の達成を目指します, aims at achievement of the medium-term plan. A year earlier the same sentence printed 累計96,000台以上 and 23,000件以上. Counted by 。, ④ has three sentences before its bullet list in both years; between the two reports the two counts and the words of the first sentence changed, and the rest is the same.

The bullet list that closes ④ is a second set of numbers on a different clock. また上記に加え、当社グループの強みをさらに磨き、将来の成長機会を最大限に取り込むべく、2025年3月期からの5年間の成長投資計画を以下のとおり設定し、取り組みを進めております — in addition, to sharpen the group's strengths further and take in future growth opportunities to the fullest, it has set a five-year growth investment plan from the fiscal year ending March 2025, as follows: ・研究開発投資:1.5兆円以上(5年累計), research and development investment of 1.5 trillion yen or more (US$9.2 billion) over the five years; ・設備投資:7,000億円以上(5年累計), capital investment of 700 billion yen or more (US$4,274 million); and ・人材採用:グローバルで約10,000人(5年累計), hiring of about 10,000 people globally. The 62nd-term report printed the third line without 約, as グローバルで10,000人. The five-year count starts with the fiscal year ending March 2025, so the 63rd term is its second year. Page 12, under 2 サステナビリティに関する考え方及び取組, describes the third line as 2025年3月期からの5年間で、グローバルにおいて新卒及び中途採用で合計約10,000人を計画, a plan for about 10,000 new-graduate and mid-career hires in total over the five years; the pages read here print the year's R&D expense and capital investment, and this piece quotes those as printed without adding years together.

The place where the report says which numbers measure the plan is page 24, under 4 経営者による財政状態、経営成績及びキャッシュ・フローの状況の分析, (2) ①. 経営方針・経営戦略、経営上の目標の達成状況を判断するための客観的な指標等については、当社グループでは売上高、営業利益率、ROE(自己資本利益率)を中期経営計画上の財務モデルにおける指標として使用しております — as to objective indicators for judging the achievement of management policy, strategy and management targets, the group uses net sales, operating margin and ROE, return on equity, as the indicators in the financial model of the medium-term management plan — followed by a cross-reference to ④. The same two sentences are on page 25 of the 62nd-term report. The three numbers of ④ and the three indicators of page 24 are therefore the same three measures, and the year's figures for them are printed on the pages around that sentence.

Page 24 prints the first two for the 63rd term: 売上高は2兆4,435億3千3百万円(前連結会計年度比0.5%増)、営業利益は6,249億3千6百万円(前連結会計年度比10.4%減) — net sales of 2,443,533 million yen (US$14,917.8 million), as the five-year table on page 2 prints the same figure, up 0.5 percent on the prior consolidated fiscal year, and operating income of 624,936 million yen (US$3,815.2 million), down 10.4 percent — and, in the next paragraph, 営業利益率は25.6%(前連結会計年度比3.1ポイント減), an operating margin of 25.6 percent, down 3.1 points. The third is on page 25, in one sentence at the end of ②: なお、当社グループの経営指標の一つであるROE(自己資本利益率)については29.6%となりました — ROE, one of the group's management indicators, was 29.6 percent. The 62nd-term report's pages 25 and 26 print, for the year to March 2025, net sales of 2,431,568 million yen (US$14,844.7 million), up 32.8 percent, operating income of 697,319 million yen (US$4,257.1 million), up 52.8 percent, an operating margin of 28.7 percent, up 3.8 points, and ROE of 30.3 percent. The ROE sentence was longer there: ROE(自己資本利益率)については30.3%となり、中期経営計画の目標としている30%を超える水準となりました — a level above the 30 percent that the medium-term plan sets as its target. This year's sentence stops at the figure.

FIELD GUIDE — № 7 Activistus politeus (the Polite Activist) call: "respectfully…" plumage: navy, modest diet: cash-rich mid-caps sightings, 2025: 56 (record) stays: 3 yrs · bows: yes
Fig. — Migratory. Arrives politely, stays three years. Song: a letter.

The five-year table 1 主要な経営指標等の推移 on page 2 carries two of the three measures as rows. 売上高 (百万円) runs 2,003,805 / 2,209,025 / 1,830,527 / 2,431,568 / 2,443,533 for the 59th to 63rd terms (US$12,233.2 million, US$13,486.1 million, US$11,175.4 million, US$14,844.7 million, US$14,917.8 million), and 自己資本利益率 (%) runs 37.2 / 32.3 / 21.8 / 30.3 / 29.6. The profit row printed beneath 売上高 is 経常利益, ordinary income, 601,724 / 625,185 / 463,185 / 707,727 / 630,338 (US$3,673.5 million, US$3,816.8 million, US$2,827.7 million, US$4,320.7 million, US$3,848.2 million); the operating-income figures for the two latest years, 697,319 million yen (US$4,257.1 million) and 624,936 million yen (US$3,815.2 million), are the 営業利益 line of the 連結損益計算書 on page 81, and the operating margin appears as a printed percentage in the analysis on page 24 and in the remuneration item on pages 71 and 72. Nothing is divided here; 25.6 percent and 28.7 percent are the report's own figures.

The report's own account of the margin is on page 24. 原材料の高騰や人件費の増加等の影響により売上総利益率は45.3%(前連結会計年度比1.8ポイント減)となり — the gross margin was 45.3 percent, down 1.8 points, under the effect of higher raw-material prices and increased personnel costs — また、半導体の技術革新を支えるべく積極的な研究開発活動を推進した結果、営業利益率は25.6%(前連結会計年度比3.1ポイント減)となりました — and, as a result of active research and development to support semiconductor innovation, the operating margin was 25.6 percent, down 3.1 points. The same paragraph puts the R&D figure beside it: 研究開発費の総額は、前連結会計年度から278億4千9百万円増加(前連結会計年度比11.1%増)し、2,778億6千6百万円となりました — total R&D expense rose by 27,849 million yen (US$170.0 million), or 11.1 percent, to 277,866 million yen (US$1,696.4 million). A year earlier page 25 of the 62nd-term report had the margin going the other way, 28.7 percent, up 3.8 points, with a record gross margin of 47.1 percent and R&D expense of 250,017 million yen (US$1,526.4 million), up 23.2 percent.

The year's figures the report prints for research and development and for capital investment, the subjects of the first two lines of the five-year plan, are in two other items. 6 研究開発活動 on page 26 closes with 当連結会計年度の研究開発費は、277,866百万円(前連結会計年度比11.1%増)であり、連結売上高に対する比率は11.4%(前連結会計年度比1.1ポイント増)であります — R&D expense of 277,866 million yen (US$1,696.4 million), 11.4 percent of consolidated net sales. 1 設備投資等の概要 on page 27 opens 当連結会計年度の設備投資につきましては、中期経営計画の達成に向け, capital investment in the year was made toward achievement of the medium-term plan, and prints 当連結会計年度の設備投資額は2,160億円となりました, capital investment of 216.0 billion yen (US$1,319 million), with the main components 当社175億円 (US$107 million), 東京エレクトロン宮城㈱822億円 (US$502 million), 東京エレクトロン テクノロジーソリューションズ㈱335億円 (US$205 million), 東京エレクトロン九州㈱313億円 (US$191 million) and Tokyo Electron Korea Ltd.262億円 (US$160 million), and names the new development buildings completed at 東京エレクトロン宮城㈱ and 東京エレクトロン九州㈱, the production and logistics building at the Tohoku site of 東京エレクトロン テクノロジーソリューションズ㈱, and a new production building under construction at 東京エレクトロン宮城㈱ scheduled for completion in summer 2027. The third line, 人材採用, counts hires, and the figure the report prints for people is a different quantity: the 従業員数 row of the five-year table on page 2, 15,634 / 17,204 / 17,702 / 19,573 / 20,236, with note 1 defining it as 就業人員数, persons at work, is a headcount rather than a number hired, and is not the figure for that line.

⑥ 資本政策 is where the item puts a fourth kind of number. The capital policy is stated as securing funds for growth investment, continuing active shareholder returns and managing the balance sheet with a medium- to long-term view, raising 営業利益率 and asset efficiency and pursuing high capital efficiency, ROE向上など. Then: 当社の配当政策につきましては、業績連動型を基本とし、親会社株主に帰属する当期純利益に対する配当性向50%を目処とします。この方針に基づき、2026年3月期においては、年間配当は過去最高となる628円といたしました — the dividend policy is performance-linked in principle, with a payout ratio of 50 percent of net income attributable to owners of parent as a guide, and on that basis the annual dividend for the year to March 2026 was set at 628 yen (US$3.83), the highest on record — and 2026年3月期については1,499億円の自己株式取得を実施いたしました, own shares of 149.9 billion yen (US$915 million) were acquired in the year. The 62nd-term report's ⑥ printed 592円 (US$3.61), also described as a record, and the same 1,499億円 (US$915 million) for the year to March 2025.

3 配当政策 on page 43 adds the floor and the split. ただし、1株当たりの年間配当金は50円を下回らないこととします — provided that the annual dividend per share will not fall below 50 yen (US$0.31) — and, if net income is not generated for two consecutive terms, a review of the dividend will be considered. The year's dividend was 中間配当として1株当たり264円、期末配当として1株当たり364円, an interim dividend of 264 yen (US$1.61) and a year-end dividend of 364 yen (US$2.22), making 628 yen (US$3.83); the table beneath prints the two board resolutions, 2025年10月31日 with a total of 121,363 million yen (US$740.9 million) and 2026年 5月12日 with 166,041 million yen (US$1,013.7 million). Page 25 states the year's return in one passage: free cash flow, defined in note 2 as operating cash flow plus investing cash flow excluding changes in time deposits and short-term investments, was a record 4,332億4千8百万円, 433,248 million yen (US$2,645.0 million), and 4,216億1千5百万円を株主に還元しました, 421,615 million yen (US$2,574.0 million) was returned to shareholders through the payout-ratio dividend and the buyback, which the report says 前述のフリーキャッシュ・フローの97%に相当します, corresponds to 97 percent of that free cash flow.

Two of the three measures, operating margin and ROE, reappear where the report sets officers' pay, (4) 役員の報酬等 on pages 67 to 72. ② 短期業績連動報酬, the short-term performance-linked remuneration paid in cash to internal directors, varies from 0 to 150 percent of a base amount on 財務を中心とした業績評価, a mainly financial performance evaluation, and a further ±20 percent on non-financial evaluation, and 財務を中心とした業績は、ワールドクラスの目標達成において重視している連結営業利益率等で評価します — financial performance is evaluated on consolidated operating margin and other measures emphasised in achieving the world-class target. Section 5 on page 71 prints the year's outcome: 2026年3月期の実績は、財務を中心とした業績(連結営業利益率25.6%等)及び非財務業績の達成率を基に算出し、社内取締役の平均支給率は64%となる見込みです — calculated on financial performance, a consolidated operating margin of 25.6 percent among other measures, and the achievement rate of non-financial performance, the average payout rate for internal directors is expected to be 64 percent. Page 80 of the 62nd-term report printed 連結営業利益率28.7% and an expected average payout rate of 118%.

④ on page 7 of the 63rd-term report; the 62nd-term report's page 9 carried the same three numbers and year as 2027年3月期までに…を目指す財務目標を設定しております.

④ 中期インセンティブ, shares delivered through a trust according to the final year of a three-year period, is the piece of pay the report ties to the plan by name. 業績は財務業績で評価し、当社の中期経営計画と連動する形で、収益力を測る指標として連結営業利益率を採用し、また、資本効率を示す指標として連結ROEを業績評価指標として採用しております — performance is evaluated on financial results and, linked to the company's medium-term management plan, consolidated operating margin is adopted as the measure of earning power and consolidated ROE as the measure of capital efficiency; the number of shares varies 0%・50〜120% with the degree of achievement of the final year's targets. Page 72 prints the result for the plan set in 2023, whose final year is the 63rd term: 2026年3月期の実績は、連結営業利益率25.6%、連結ROE 29.6%となり、算定式に従って支給いたします — the fiscal year ending March 2026 gave a consolidated operating margin of 25.6 percent and consolidated ROE of 29.6 percent, and shares will be delivered according to the formula; for the 2024 and 2025 plans the report says the results are not yet fixed. A year earlier page 81 of the 62nd-term report printed, for the 2022 plan, 連結営業利益率28.7%、連結ROE30.3%. ③ 中長期業績連動報酬, stock options over a three-year evaluation period, uses a different set, 相対TSR, relative total shareholder return against XSOX, the Philadelphia semiconductor index with dividends, together with 連結営業利益率 and 連結営業利益成長率 compared with competitors; for the plans beginning in the fiscal years ending March 2025 and March 2026 the report likewise says the results are not yet fixed.

The three indicators of the medium-term management plan named under ④ 中長期的な成長を見据えた取り組み on page 7 of the 63rd-term annual securities report of Tokyo Electron Limited (S100YEOO, filed June 22, 2026), each with its own axis. Hollow dots are the plan's thresholds as printed, 売上高3兆円以上, 営業利益率35%以上 and ROE 30%以上, with the fiscal year ending March 2027 as the target year; filled dots are the printed figures for the fiscal years ending March 2025 and March 2026. 売上高: 2,431,568 and 2,443,533百万円 from the five-year table on page 2, placed on an axis in 兆円. 営業利益率: 28.7 percent on page 25 of the 62nd-term report (S100VX9R, filed June 16, 2025) and 25.6 percent on page 24 of the 63rd. 自己資本利益率: 30.3 and 29.6 percent from the five-year table on page 2. Each mark is a printed value; no gap, ratio or rate of achievement is computed.

The target year of ④ appears again under 2 サステナビリティに関する考え方及び取組, in the human-capital text on page 12 and in the table (4) 指標及び目標 on page 15. Its human-capital rows print 管理的地位にある労働者に占める女性労働者の割合, the share of women among workers in managerial positions, with targets of 日本:5.0% and グローバル:8.0%, each marked (2027年3月期まで), against 実績(当連結会計年度) of 日本:3.8% and グローバル:6.8%, and note 1 that the target does not apply to the group's US region; オンライン学習年間利用者率, the annual online-learning user rate, with a target of グローバル:60% (2027年3月期まで) against 45.3%, marked as a target added in the fiscal year ending March 2026; and 男性労働者の育児休業取得率, male workers' uptake of childcare leave, with a target of 日本:85% (2030年3月期まで) against 83.5%. The environmental rows run on a third clock: CO2総排出量 at sites, 85%削減 by the fiscal year ending March 2031 against the fiscal year ending March 2019, with 64%削減 printed as the year's figure; 再生可能エネルギー使用比率 of 100% by the same year against 87%; and CO2排出量 of 2040年までにネットゼロ for the group's own activities, scope 1 and 2, and for activities outside the group, scope 3, with the year's figures printed as 63千t-CO2 and 14,203千t-CO2.

Set beside the 62nd-term report, the item changes in more places than ④. The comparison, made on text extracted from pages 7 to 10 of the 63rd-term report and pages 9 to 11 of the 62nd after removing whitespace, finds: in ① and ②, sentences reordered and reworded and note 1 on TSV rewritten; in ③, the 62nd-term report's sentence 半導体デバイス市場は、2024年に約6,300億ドル(注)2になりましたが、2030年頃には1兆ドル(注)3を超える市場規模に達すると見込まれております, with its notes citing 世界半導体市場統計(WSTS) and 当社による試算, replaced by sentences that supply of high-performance devices is tight and prices tending upward under strong AI demand, that supply and demand are expected to settle over the medium to long term, and that the group will watch for supply-chain disruption if tension in the Middle East is prolonged; in the ■ 人材に関する取り組み list, the phrases ワールドクラスの利益に基づく and ワールドクラスの営業利益に基づく dropped from points 3 and 4; in ◇ 環境に関する取り組み, the sentence that renewable energy use reached 100 percent at all domestic sites (90 percent globally) in the fiscal year ending March 2024 replaced by a list of measures; in ⑤, the sentence on an IR office opened in New York in November 2023 removed; and in ⑥, 592円 (US$3.61) become 628円 (US$3.83) with the same 1,499億円 (US$915 million).

The last change is an addition. After ⑥ and the sentence that forward-looking statements are not a promise of their realisation, page 10 prints a passage headed (当社台湾子会社において、機密情報に関する事案への関与により、国家安全法等の違反で起訴された件について), on the indictment of the Taiwanese subsidiary. It states that a former employee of Tokyo Electron Taiwan Ltd. was indicted by Taiwanese prosecutors in August 2025 and January 2026 for violations of the National Security Act and other laws in connection with a matter involving a customer's confidential information; that Tokyo Electron Taiwan Ltd. was itself indicted in December 2025 and January 2026 for breach of its duty of supervision over the former employee; and that on April 27, 2026 a judgment ordered payment of a fine of 1億5,000万台湾元, 150 million Taiwan dollars, suspended for three years on condition of paying 1億台湾元 to the customer and 5,000万台湾元 to the Taiwan government, the amounts as printed. The passage closes with the group's statement that it takes the matter seriously and will further strengthen its information-management and compliance structures. In the 62nd-term report the extracted text of the item ends at the forward-looking sentence.

The plan is also the thing the report says the organisation watches. ◇ ガバナンスに関する取り組み on page 9 lists, among the operating rhythms that support execution, 四半期レビュー会議:中期経営計画の進捗をモニタリング(年4回), a quarterly review meeting that monitors the plan's progress four times a year; point 2 of the ■ 人材に関する取り組み list reads 会社の将来に対する夢と期待が持てること ⇒ 中期経営計画に基づくワールドクラスの利益率の達成を当社グループ全体で追求, being able to hold dreams and expectations for the company's future, matched with pursuit across the group of the world-class margin under the plan; and the capital-investment overview on page 27 opens with the plan. Read in three layers, then: ④ names three numbers, 3兆円以上 (US$18.3 billion), 35%以上 and 30%以上, and one year, 2027年3月期; page 24 names the same three measures as the indicators of the plan's financial model and, with page 25, prints 2,443,533 million yen (US$14,917.8 million), 25.6 percent and 29.6 percent for the 63rd term; page 71 names 連結営業利益率25.6%等 among the financial measures used, alongside non-financial performance, for the year's short-term pay; and page 72 prints 25.6 percent and 29.6 percent for the 2023 mid-term incentive. The item's own caveat is the sentence that closes it before the Taiwan passage: 文中の将来に関する記述は…当社グループとしてその実現を約束する趣旨のものではありません — the forward-looking statements in the text are not intended as a promise by the group of their realisation.

What would change our mind

The three thresholds in ④ are printed with 以上, or more, and the report attaches no intermediate milestones to them in the pages read; nothing here measures the year's figures against them, computes a gap or a rate of achievement, or treats 29.6 percent as near or far from 30 percent. The comparison of the two years' items was made on text extracted by pdfplumber from pages 7 to 10 of the 63rd-term report and pages 9 to 11 of the 62nd after removing whitespace; a difference inside a passage the extraction dropped would not be caught, and the changes listed are what that comparison found. The 営業利益率 figures, 25.6 percent and 28.7 percent, are quoted from the analysis and remuneration pages as printed, since the five-year table on page 2 carries 経常利益 rather than 営業利益; the ROE figures are the 自己資本利益率 row of that table and the sentences on pages 25 and 26. The year's R&D expense of 277,866百万円 (US$1,696.4 million) and capital investment of 2,160億円 (US$1,319 million) are annual figures the report prints under other items, and whether 研究開発費 and 設備投資額 are the quantities the plan's 研究開発投資 and 設備投資 count, in the same definitions, is not stated on the pages read; the 従業員数 of 20,236 is a headcount and not a hiring figure; no running total against 1.5兆円 (US$9.2 billion), 7,000億円 (US$4,274 million) or 10,000 is computed. The expected average payout rate of 64 percent for short-term remuneration is described by the report as calculated on financial performance, 連結営業利益率25.6%等, and non-financial performance; the 2023 mid-term incentive is described as calculated on consolidated operating margin and consolidated ROE under a formula that is not reproduced here. The Taiwan passage is quoted as the report prints it, in 台湾元 without conversion, and nothing here characterises the matter beyond the report's own sentences. 相対TSR is named only as an indicator in the remuneration policy; no share-price or index figure is used.
