Kioxia's Dividend: Three Paragraphs and No Table
The item 3【配当政策】 on page 68 of Kioxia Holdings Corporation's annual securities report for the year to March 2026, filed June 24, 2026, is three paragraphs and no table. It says that the articles let the board resolve dividends, that the two classes of preferred shares which ranked ahead of the common shares were all acquired and cancelled on July 25, 2025, and that the company has begun to consider a progressive dividend policy for part of its shareholder returns. Beside it the reports print the record: a dash in the common-share dividend row for every year from 第3期 to 第8期, preferred dividends of 9,286 million yen (US$56.7 million) and 14,475 million yen (US$88.4 million) resolved on May 15, 2025, and the acquisition of every preferred share for 330,387 million yen (US$2,017.0 million).
3【配当政策】, the dividend policy item of Kioxia Holdings Corporation's annual securities report for its 8th fiscal year, April 2025 to March 2026, filed on EDINET on June 24, 2026, is page 68 of 185. It sits inside 第4 提出会社の状況, the section on the filing company, after 2【自己株式の取得等の状況】, the treasury-share section that runs from page 66 to the top of page 68, and before 4【コーポレート・ガバナンスの状況等】 on page 69. It is three paragraphs of prose, five sentences, and no table. This piece reads the item beside the same item on page 80 of 186 in the 7th report, filed June 26, 2025, which is four paragraphs, seven sentences, a table and a note, and follows its words to the five-year table on page 3, the notes on pages 126 to 133 and 143, the cash-flow statement on page 108, the management analysis on pages 17, 36 and 37, the filing company's statement of changes in equity on pages 169 and 170, and the extraordinary report of July 2, 2026 that records the shareholders' meeting.
The first paragraph is one sentence about the articles of incorporation: 当社は、期末配当及び中間配当のほか、基準日を定めて剰余金の配当を行うことができる旨及び会社法第459条第1項の規定に基づき、剰余金の配当にかかる決定機関を取締役会とすることができる旨を定款に定めております — the articles provide that, besides a year-end and an interim dividend, the company may pay a dividend of surplus by setting a record date, and that under Article 459(1) of the Companies Act the body that decides dividends of surplus may be the board. Page 74 repeats the provision under ⑪ 取締役会で決議することができる株主総会決議事項 and gives its purpose as 株主への機動的な配当を行うこと, paying agile dividends to shareholders. The same entry states that the articles also let the board acquire the company's own shares under Article 165(2).
The second paragraph is about shares that no longer exist. なお、当社の定款の規定上、普通株主に先立って、甲種優先株式及び乙種優先株式(社債型優先株式)の株主は剰余金の配当及び残余財産の分配を受けることができるとされております — under the articles, holders of the 甲種 and 乙種 preferred shares, the two classes the item calls 社債型優先株式, bond-type preferred shares, receive dividends of surplus and distributions of residual assets ahead of common shareholders. ただし、2025年7月25日にすべての甲種優先株式及び乙種優先株式は取得及び消却されましたので、現在発行済みの甲種優先株式及び乙種優先株式はございません — however, all of them were acquired and cancelled on July 25, 2025, and none is now outstanding. The five-year table on page 3 prints the same date in its note 1, and in its row 発行済株式総数 the two classes go from 1,200 and 1,800 shares in 第7期 to a dash in 第8期.
The third paragraph is the one about the future use of cash. 当社は、流動性の確保や将来に向けた成長投資等を考慮し、その上で余剰となる累積フリー・キャッシュ・フローを、更なる成長投資と株主還元に使用する予定です — after taking into account the securing of liquidity and investment in future growth, the company plans to use the cumulative free cash flow that is surplus beyond that for further growth investment and shareholder returns. 株主還元の一部は、累進配当政策とする検討を開始しております — for part of those shareholder returns, it has begun to consider a progressive dividend policy. The sentence has no figure, no ratio and no date, and its verb is 検討を開始, to have begun considering. In the text this desk extracted from the 185 pages, the word 累進 occurs only here.
Set beside page 80 of the 7th report, what has gone is a paragraph of two sentences, a table and its note, and a cross-reference. The earlier item opened 当社は、株主への還元を重要な経営課題のひとつとして認識しておりますが, the company recognises returns to shareholders as one of its important management issues, but, and continued that for now retained funds would go to capital investment, research and development and the strengthening of the financial base: そのため、当面は普通株主への配当を含めた還元は実施しませんが、今後、成長に向けた投資の資金需要及び財務状況に応じて還元の方針を見直す予定としております — so for the time being no returns, including dividends to common shareholders, would be made, and the policy would be reviewed according to the funding needs of growth investment and the financial position. That paragraph is not in the 8th report's item; the paragraph on cumulative free cash flow stands where it stood. The two sentences on the articles in the earlier item, one paragraph there, have become one sentence, and the preferred-share paragraph, which in the earlier item ended by referring the reader to the risk item ①多額の借入金及び社債型優先株式, now ends with the acquisition and cancellation of July 25, 2025.
The earlier item also had a table, introduced by なお、当事業年度における剰余金の配当は以下のとおりです, with one resolution on two lines: 2025年5月15日 取締役会, 甲種優先株式 9,286 million yen (US$56.7 million) at 7,738,453円 (US$47,243) a share and 乙種優先株式 14,475 million yen (US$88.4 million) at 8,041,552円 (US$49,094) a share, record date March 31, 2025, effective date June 30, 2025. Its note stated that under IFRS the two classes are recognised as financial liabilities and the dividends as 金融費用, finance costs, in the consolidated income statement. The 8th report prints the same two lines in note 20 on page 143 as the year's 配当金支払額, dividends paid, and under (2), the heading for dividends with a record date in the year and an effective date after its end, prints 該当事項はありません, no applicable items. The item on page 68 prints no table.
The record for the common shares is a row of dashes. In (2)提出会社の経営指標等, the filing company's five-year table on page 3 of the 8th report, the row 1株当たり配当額 普通株式 reads − for 第4期 through 第8期, March 2022 to March 2026, the interim line beneath it reads (−) five times, and the row 配当性向 reads − five times. Note 5 on page 4 gives the reason in the report's words: 普通株式への配当を実施していないため、配当性向について記載しておりません, the payout ratio is not stated because no dividend on common shares has been paid. The same table on page 3 of the 7th report starts at 第3期, March 2021, and prints − in the same row for that year, so the two tables between them show six fiscal years without a dividend on the common shares, with the listing on the Tokyo Stock Exchange Prime Market on December 18, 2024, recorded in note 8 on page 4, falling inside 第7期.
The rows beneath are the per-share dividends of the two preferred classes, whose priority over the common shares the item's second paragraph describes. 甲種優先株式 reads 4,179,871 (US$25,518) for 第4期, − for 第5期, 4,349,156 (US$26,552) for 第6期, 7,738,453 (US$47,243) for 第7期 and − for 第8期; 乙種優先株式 reads 4,446,400 (US$27,145), −, 4,637,595 (US$28,313), 8,041,552 (US$49,094) and −, all in yen per share. Note 1 on page 3 explains the last dash: the 第8期 figure is not stated because all shares of both classes were acquired and cancelled on July 25, 2025. The 7th report's table adds 第3期 at 4,179,871 yen (US$25,518) for 甲種優先株式 and 4,446,400 yen (US$27,145) for 乙種優先株式, the same figures as 第4期. Note 2 on the same page records the effect on another row of the filing company's table: because the preferred dividend, paid out of retained earnings not attributable to common shareholders, is deducted in calculating 1株当たり当期純利益(△損失), that row is a loss of 0.89 yen (US$0.005) for 第6期 and zero for 第7期, printed as −. The consolidated table on page 2, on IFRS and a different basis, prints 基本的1株当たり当期利益 of 519.96 yen (US$3.17) for 第7期.
Note 20 on page 143 lists the payments year by year. For the year to March 2025: 2024年6月10日 取締役会, 甲種 5,219 million yen (US$31.9 million) at 4,349,156円 (US$26,552) a share and 乙種 8,348 million yen (US$51.0 million) at 4,637,595円 (US$28,313), record date March 31, 2024, effective June 28, 2024; and under (2) the May 15, 2025 resolution of 9,286 million yen (US$56.7 million) and 14,475 million yen (US$88.4 million) with an effective date of June 30, 2025. For the year to March 2026 the May 15, 2025 lines appear again as the year's payments, and (2) reads 該当事項はありません. The filing company's statement of changes in equity prints 剰余金の配当 on one line each year: on page 169, for the year to March 2025, 12,211 million yen (US$74.5 million) under その他資本剰余金 and 1,354 million yen (US$8.3 million) under 繰越利益剰余金, 13,566 million yen (US$82.8 million) in the column 株主資本合計; on page 170, for the year to March 2026, 23,261 million yen (US$142.0 million) and 499 million yen (US$3.0 million), 23,760 million yen (US$145.1 million) in the same column. The statement is on Japanese GAAP, and page 172 states that its amounts are shown with figures below one million yen cut off; note 20 is on IFRS, and page 109 states that the consolidated statements are rounded to the nearest million yen. The column entries and the totals are listed here as printed, not added or reconciled.
What the preferred shares were is in note 14, pages 126 to 133. 甲種優先株式 was 1,200 shares at 100 million yen (US$0.61 million) each, 120,000 million yen (US$732.6 million) in all, paid in on June 17, 2019 and allotted by third-party allotment to 株式会社日本政策投資銀行; the note on page 129 states that the shares carried no vote at the shareholders' meeting and no clause or right of acquisition in exchange for common or convertible shares, and that because they had to be redeemed in cash on a fixed date, June 17, 2028, IFRS classified them as financial liabilities measured at amortised cost. The dividend on 甲種優先株式 was a rate on a base price of 100 million yen (US$0.61 million): 4.05 percent a year to June 16, 2024, 8.05 percent to March 31, 2025, 7.05 percent to September 30, 2026, 8.35 percent to March 31, 2027 and 9.65 percent from April 1, 2027, with any dividend not paid for a year added to the base price for the next. The table on page 126 prints 優先株式 at 321,261 million yen (US$1,961.3 million) at March 31, 2025, with an average rate of 7.36 percent and a due date of 2028年6月; the table for March 31, 2026 on the same page has no such line.
The acquisition is printed in four places with figures on different bases. Page 133, in the same note, states that the board of July 17, 2025 resolved the acquisition and cancellation of both classes, completed on July 25, 2025, at 110 million yen (US$0.67 million) a share for each class and 330,387 million yen (US$2,017.0 million) in total, a total that the note says includes an amount equivalent to unpaid dividends. 2【自己株式の取得等の状況】 on pages 66 and 67 prints it under (2)取締役会決議による取得の状況 with the board dated 2025年7月14日 and an acquisition period of July 25 to August 1, 2025: 甲種 1,200 shares up to 132,000,000,000円 (US$805.9 million), acquired for 131,751,156,000円 (US$804.3 million) with 248,844,000円 (US$1.5 million) of the resolution left unused; 乙種 1,800 shares up to 199,000,000,000円 (US$1,214.9 million), acquired for 198,635,761,800円 (US$1,212.7 million) with 364,238,200円 (US$2.2 million) left; and (4) prints the same share counts and amounts as 消却の処分を行った取得自己株式, cancelled. The statement of changes in equity on page 170 prints 自己株式の取得 of 330,389 million yen (US$2,017.0 million) as a reduction in the 自己株式 column, and 自己株式の消却 of 330,386 million yen (US$2,017.0 million) as a reduction in その他資本剰余金 and an equal increase in 自己株式; the cash-flow statement on page 108 prints 優先株式の償還による支出 of 322,996 million yen (US$1,971.9 million). The two board dates and the several totals are quoted as each page prints them.
The management analysis places the acquisition inside a larger transaction. Page 37 describes 2025年7月に実施した資本負債構成の再構築, a restructuring of the capital and debt structure carried out in July 2025: repayments of long-term borrowings of 6,164億円 (US$3,763 million) and the redemption of the non-convertible preferred shares of 3,230億円 (US$1,972 million), against new long-term borrowings of 5,356億円 (US$3,270 million) and the issue of US dollar unsecured bonds of 3,267億円 (US$1,995 million), with financing activities using 961億円 (US$587 million) in the year. Page 17, in the section on management policy, prints the position that results: interest-bearing debt of 1兆228億円 (US$6,244 million) against cash and deposits of 4,707億円 (US$2,874 million), net interest-bearing debt of 5,521億円 (US$3,371 million), and the statement that free cash flow from business activities will be used as funds for future growth and applied to the repayment of interest-bearing debt, with net cash, 有利子負債の額を現預金の額が上回る状況, as the medium-to-long-term aim. The ratio of net interest-bearing debt to Non-GAAP EBITDA is printed beneath: 3.51, 14.15, 1.22 and 0.46 for the years to March 2023 through March 2026. Page 68 speaks of 累積フリー・キャッシュ・フロー that is surplus after liquidity and growth investment, and page 17 of フリー・キャッシュ・フロー for growth funds and debt repayment; both are quoted as printed and are not combined here.
The risk item the earlier policy pointed to has a different place in the later report. Page 33 of the 7th report, under (4)財務リスク, was headed ①多額の借入金及び社債型優先株式, large borrowings and bond-type preferred shares; it printed the preferred balance at 322,741 million yen (US$1,970.3 million) at March 2024 and 321,261 million yen (US$1,961.3 million) at March 2025, and stated that common shareholders could not receive a dividend of surplus unless the preferred dividend was paid, that the dividend rate would rise after a set period, and that the company could at its option pay a special dividend to the preferred holders. In the 8th report, (4)財務リスク on pages 29 and 30 is headed ①のれんの減損 and ②繰延税金資産, and funding appears under (5)金融市場リスク ②資金調達環境の変化, which speaks of raising funds by issuing bonds and of equity funding in the capital markets. In the text this desk extracted from the 185 pages, the phrase 多額の借入金 does not occur.
The articles the second paragraph refers to were changed the day after the report was filed. The extraordinary report Kioxia filed on July 2, 2026, three pages, records the 第8期定時株主総会 of June 25, 2026, and its 第1号議案 定款一部変更の件: 当社定款の甲種優先株式及び乙種優先株式に係る定めを削除するとともに、所要の変更を行うものであります, to delete the provisions of the articles concerning the two classes of preferred shares and make the changes required. It passed with 3,522,371 votes for, 873 against and 135 abstaining, 99.50 percent in the report's result column, on the requirement in its note 1 of two-thirds of the votes of shareholders present who together hold at least one-third of the voting rights. Page 74 of the annual report, under ⑬ 種類株式に関する事項, had already recorded that all 1,200 and 1,800 shares were acquired as treasury shares on July 25, 2025 and cancelled the same day.
What the item sets out, then, is a procedure, a plan and a consideration: dividends that the board may resolve under the articles, a plan to use cumulative free cash flow left after liquidity and growth investment for further growth investment and shareholder returns, and a progressive dividend policy that the company has begun to consider for part of those returns. What the reports record is a common-share dividend row of dashes for six fiscal years, preferred dividends resolved in June 2024 and May 2025, and the acquisition of every preferred share on July 25, 2025 for 330,387 million yen (US$2,017.0 million). The sentence that said no returns would be made for the time being was in the report of June 2025 and is not in the report of June 2026; the sentence that stands in its place names the cash flow, two uses for it and the word 累進, and prints no figure.
What would change our mind
The counts of three paragraphs and five sentences on page 68, and four paragraphs and seven sentences on page 80, are this desk's, taken from the indentation of the first line of each paragraph in the PDF and the number of 。; the reports do not number their paragraphs. 検討を開始しております is the beginning of consideration, and this piece does not read it as a policy adopted, a dividend announced or a forecast of one; whether a dividend on the common shares will be paid for any year is not something either report states. The six fiscal years without a common dividend are read from two tables, 第3期 from the 7th report and 第4期 to 第8期 from the 8th, and the dash is what the tables print; it is paired with note 5 on page 4, which gives the reason as no dividend having been paid, and no other source has been checked. The dashes for 第5期 in the preferred rows are also what the table prints, and the terms on page 130, under which a year's unpaid preferred dividend is added to the base price, are quoted from the note and not applied to any year by the desk. The two board dates for the acquisition, 2025年7月14日 on page 66 and 2025年7月17日 on page 133, are both the report's, and this piece does not say which is the date of the resolution that was acted on. The totals for the acquisition and for the dividends are printed under different labels on different bases, 330,387 million yen (US$2,017.0 million) on page 133, 330,389 and 330,386 million yen (each US$2,017.0 million) on page 170, 322,996 million yen (US$1,971.9 million) on page 108, and 131,751,156,000円 (US$804.3 million) and 198,635,761,800円 (US$1,212.7 million) on pages 66 and 67; the dividend totals of 13,566 million yen (US$82.8 million) and 23,760 million yen (US$145.1 million) on pages 169 and 170 are on Japanese GAAP with figures below one million yen cut off, and the lines in note 20 are on IFRS rounded to the nearest million; none of these is reconciled or added here, and no column entry is tested against its printed total. That 累進 occurs only on page 68 and that 多額の借入金 does not occur are searches over text extracted from the PDF, and a heading or table the extraction dropped would not have been found. The pairing of the policy's second paragraph with the first resolution of the June 25, 2026 meeting is this desk's; the extraordinary report does not refer to the dividend policy.
