Rinnai's Facilities: A Second Plot in Seto
The section headed 設備の状況 in RINNAI CORPORATION's annual securities report for the year to March 2026 prints capital expenditure of 17,628 million yen (US$107.6 million), twenty-eight facility lines with book value and headcount, and a seven-line plan table whose fourth line is 7,000 million yen (US$42.7 million) of land at the Seto plant, June 2026 to March 2031, where the June 2025 table had six lines and none for land. The largest facility line by book value is Rinnai Aoyama in Minato-ku, Tokyo, labelled ブランド体験施設, brand experience facility, at 25,585 million yen (US$156.2 million), of which land is 23,090 million yen (US$141.0 million) on 1,844 square metres.
第３ 設備の状況, the facilities section of RINNAI CORPORATION's annual securities report for its 76th fiscal year, April 2025 to March 2026, filed on EDINET on June 25, 2026, occupies pages 24 to 26 of 131. It has three numbered parts. １ 設備投資等の概要, the outline of capital investment, is three short paragraphs, the first of which gives the year's figure as 設備投資額は17,628百万円, 17,628 million yen (US$107.6 million). ２ 主要な設備の状況, principal facilities, is three tables: eleven lines for the filing company, seven for domestic subsidiaries and ten for overseas subsidiaries, each with book value by class of asset, land area and headcount. ３ 設備の新設、除却等の計画, plans for new facilities and disposals, is a table of seven planned investments as of March 31, 2026, one of which is 7,000 million yen (US$42.7 million) of land at the Seto plant with completion set for March 2031. This piece reads the three parts, sets them beside the same section of the 75th report, filed June 24, 2025, on pages 28 to 30 of 125, and follows the figures to the other pages where they reappear.
The outline's first paragraph opens the same way in both reports: 当社グループでは、変化の激しい経済環境にも柔軟に対応できる中長期的な経営計画を策定し企業経営を推進しており, the group draws up a medium- to long-term management plan able to respond flexibly to a fast-changing economic environment. It then lists two components of the year's investment: 原価低減・品質向上のための機械装置の更新及び合理化投資として4,384百万円, renewal of machinery and rationalisation investment for cost reduction and quality improvement at 4,384 million yen (US$26.8 million), and 主に各種金型を含む工具、器具及び備品投資として4,362百万円等, investment in tools, furniture and fixtures, mainly including dies of various kinds, at 4,362 million yen (US$26.6 million), with 等, and others, closing the list. By segment it names 日本では9,583百万円、中国では1,490百万円及びアメリカでは333百万円, Japan 9,583 million yen (US$58.5 million), China 1,490 million yen (US$9.1 million) and the Americas 333 million yen (US$2.0 million), as investment in property, plant and equipment. The 75th report's paragraph on page 28 printed 16,300 million yen (US$99.5 million) for the year to March 2025, with machinery at 4,530 million yen (US$27.7 million), tools and dies at 3,948 million yen (US$24.1 million), Japan 8,819 million yen (US$53.8 million), China 3,469 million yen (US$21.2 million) and the Americas 261 million yen (US$1.6 million). Both years' third paragraph reads なお、当連結会計年度において重要な設備の除却、売却等はありません, no significant disposal or sale of facilities in the year.
Table (1), 提出会社, the filing company, is dated 2026年３月31日現在. Its columns are 事業所名(所在地), name and location of the site; セグメントの名称, segment; 設備の内容, what the facility is; then 帳簿価額, book value in millions of yen, in six columns, 建物及び構築物, buildings and structures, 機械装置及び運搬具, machinery, equipment and vehicles, 土地 with (面積㎡), land with its area in square metres, 工具、器具及び備品, tools, furniture and fixtures, リース資産, leased assets, and 合計, total; and 従業員数(人), employees, with temporary staff in square brackets as note 5 explains, 従業員数の［ ］は、臨時従業員を外書しております. Note 1 draws the boundary of the book-value columns: 帳簿価額に建設仮勘定は含まれておりません, construction in progress is not included. Every line of table (1) carries the segment 日本. The 76th report's table has eleven lines; the 75th report's table on page 28 has ten.
The line that the 75th table does not carry, as extracted, is the seventh: イノベーションセンター (愛知県丹羽郡大口町), Innovation Center in Oguchi, Aichi, described as 研究開発施設建設用土地, land for the construction of a research and development facility. Its columns read buildings −, machinery −, land 1,765 million yen (US$10.8 million) on 35,604 square metres, tools −, leased assets −, total 1,765 million yen (US$10.8 million), employees −. The name appears in other places in the report. ６ 研究開発活動 on page 23 opens 昨年度設立したイノベーションセンターでは, at the Innovation Center established last fiscal year, and describes 大学・研究機関との共創、協業, joint creation and collaboration with universities and research institutions, with 31 research themes in fiscal 2025 and research and development expenses of 15,939 million yen (US$97.3 million) for the group. The management policy on page 10 reads イノベーションセンター強化やM&Aを通じた外部連携で、新規事業の早期収益化を図ります, strengthening the Innovation Center and external collaboration through M&A to bring new businesses to profitability early. The 75th report's research section on page 27 already named 開発本部、イノベーションセンターおよび生産技術本部 as the three units carrying out research; the plot of land is what is new on the facilities table.
The largest line in table (1) by book value is Rinnai Aoyama(リンナイ青山) (東京都港区), in Minato-ku, Tokyo, labelled ブランド体験施設, brand experience facility. It reads buildings 2,462 million yen (US$15.0 million), machinery −, land 23,090 million yen (US$141.0 million) on 1,844 square metres, tools 32 million yen (US$0.20 million), leased assets −, total 25,585 million yen (US$156.2 million), 5 employees with temporary staff shown as −. A year earlier the same line read buildings 2,036 million yen (US$12.4 million), land 23,090 million yen (US$141.0 million) on 1,844 square metres, tools 0, total 25,127 million yen (US$153.4 million), 2 employees. The history on page 4 of the 76th report has an entry that the 75th report's history on page 4, as extracted, does not: 2025年７月 東京都港区南青山に、体験型ショールームRinnai Aoyamaをグランドオープン, the grand opening in July 2025 of the experiential showroom Rinnai Aoyama in Minami-Aoyama. The parent's fixed-asset schedule, 有形固定資産等明細表 on page 120, prints additions to 建物, buildings, of 3,262 million yen (US$19.9 million) and names two items: ほっとラボ大阪建物新築工事 624百万円, construction of the Hot Lab Osaka building at 624 million yen (US$3.8 million), and リンナイ青山建物改装工事 433百万円, renovation of the Rinnai Aoyama building at 433 million yen (US$2.6 million). The 75th report's schedule on page 115 had named one item, 生産技術センター建物拡張工事 2,048百万円, the extension of the production engineering centre building at 2,048 million yen (US$12.5 million).
The three plants in Aichi come next. 大口工場 (愛知県丹羽郡大口町他), the Oguchi plant, 厨房機器生産設備, kitchen appliance production: buildings 3,647 million yen (US$22.3 million), machinery 1,129 million yen (US$6.9 million), land 1,615 million yen (US$9.9 million) on 88,119 square metres, tools 245 million yen (US$1.5 million), leased assets −, total 6,637 million yen (US$40.5 million), 529 employees with 86 temporary; a year earlier total 6,811 million yen (US$41.6 million) and 555 with 98. 瀬戸工場 (愛知県瀬戸市), the Seto plant, 給湯機器生産設備, water heater production: buildings 2,062 million yen (US$12.6 million), machinery 1,941 million yen (US$11.8 million), land 316 million yen (US$1.9 million) on 42,649 square metres, tools 189 million yen (US$1.2 million), leased assets 0, total 4,509 million yen (US$27.5 million), 499 employees with 56 temporary; a year earlier 4,984 million yen (US$30.4 million) and 505 with 55. 暁工場 (愛知県瀬戸市), the Akatsuki plant, also in Seto, 給湯・空調機器生産設備, water heater and air-conditioning production: buildings 3,732 million yen (US$22.8 million), machinery 1,496 million yen (US$9.1 million), land 825 million yen (US$5.0 million) on 48,311 square metres, tools 72 million yen (US$0.44 million), leased assets −, total 6,127 million yen (US$37.4 million), 289 employees with 44 temporary; a year earlier 6,582 million yen (US$40.2 million) and 282 with 36. The tenth line is ＭＴインダストリアル㈱, 本社、販売事業所他(ペルーカヤオ他), head office and sales sites in Callao, Peru and elsewhere, segment その他, 管理・販売事務設備等, administrative and sales office equipment: buildings 318 million yen (US$1.9 million), machinery 39 million yen (US$0.24 million), land −, tools 279 million yen (US$1.7 million), leased assets 935 million yen (US$5.7 million), total 1,573 million yen (US$9.6 million), 499 employees with temporary staff shown as −. The history on page 4 dates the arrival: 2025年10月 ペルーにおいて厨房・給湯・空調機器の販売を行うＭＴインダストリアル㈱の株式を取得し、連結子会社化, acquisition of the shares of MT Industrial, a seller of kitchen, water heating and air-conditioning equipment in Peru, and its consolidation. The business combination note on page 100 gives the terms: all shares acquired on 2025年10月31日, 取得した議決権比率 １００％, consideration in cash of 11,176 million yen (US$68.2 million), a deemed acquisition date of 2025年12月31日, and the statement that 当連結会計年度における連結損益計算書に被取得企業の業績は含まれておりません, the acquired company's results are not included in the year's consolidated income statement. The note's stated reason is 重点市場である中南米エリアにおける更なる事業規模拡大のため, further expansion of business scale in the priority market of Central and South America. On page 7 the company is listed with capital of 千PEN 7,170 and the relationship 主にガス機器を当社より購入し販売している, it mainly purchases gas appliances from the filing company and sells them. ３ 事業の内容 on page 5 counts 当社（リンナイ株式会社）、子会社50社及び関連会社２社、計53社, the company itself, 50 subsidiaries and 2 affiliates, 53 companies in all; the 75th report's page 5 counted 当社（リンナイ株式会社）、子会社49社及び関連会社２社、計52社.

The headcount column has a companion table. 従業員の状況 on page 66 prints the consolidated count at March 31, 2026 as 11,328 employees with 2,365 temporary in brackets, by segment 日本 5,347 [1,179], アメリカ 759 [32], オーストラリア 595 [225], 中国 1,241 [0], 韓国 854 [64], インドネシア 573 [816], 報告セグメント計 9,369 [2,316] and その他 1,959 [49]; the three figures 759 [32], 595 [225] and 573 [816] are the same as those printed on the リンナイアメリカ, リンナイオーストラリア and リンナイインドネシア lines of table (3). The filing company's row reads 3,470 employees with 428 temporary, average age 40.8, average length of service 19.2 years, average annual pay 7,410,733円 (US$45,243), and, in a column headed 平均年間給与の対前事業年度増減率（％） that the 75th report's table on page 8, as extracted, does not carry, 3.8, the change in average annual pay on the prior fiscal year as the report states. The 75th report's page 8 printed 10,908 with 1,543 for the group and 3,512 with 390 for the filing company, at 7,142,237円 (US$43,603). The note to the consolidated table defines 従業員数 as 就業人員, persons at work, excluding those seconded outside the group and including those seconded in, with temporary staff as 年間の平均人員, the annual average; the filing company's note draws the same line at the company rather than the group.
Part ３, 設備の新設、除却等の計画, is prefaced by three sentences that are the same in both reports: 当社グループの設備投資については、販売動向、投資効率等を総合的に勘案して策定しております, capital investment is decided with comprehensive regard to sales trends and investment efficiency; plans are in principle drawn up by each consolidated company, coordinated 提出会社を中心に, with the filing company at the centre, in view of medium- and long-term plans; and 当連結会計年度末現在における重要な設備の新設、更新計画は次のとおりであります, the significant plans for new and renewed facilities as of the year-end are as follows. The 76th table has seven lines, each funded by 自己資金, own funds; five are the filing company's and two are subsidiaries'. The first four: 当社大口工場他 (愛知県丹羽郡大口町他), 金型, dies, 2,995 million yen (US$18.3 million) with 96 million yen (US$0.59 million) already paid, March 2026 to March 2027; the same site, 機械、器具等, machinery and equipment, 1,552 million yen (US$9.5 million) with 18 million yen (US$0.11 million) paid; the same site, 建物、構築物, buildings and structures, 805 million yen (US$4.9 million) with 295 million yen (US$1.8 million) paid; and 当社瀬戸工場 (愛知県瀬戸市), 土地, land, 7,000 million yen (US$42.7 million) with a dash in the 既支払額 column, amount already paid, to start in 2026年6月 and complete in 2031年3月. The fifth is 当社関東支社他 (東京都品川区), the company's Kanto branch and other sites, located in Shinagawa, Tokyo, 建物、構築物, 1,531 million yen (US$9.3 million) with 188 million yen (US$1.1 million) paid, the one line whose 完成後の増加能力, increase in capacity after completion, is given in words, 販売拠点の拡充とサービスの向上, expansion of sales sites and improvement of service. The two subsidiary lines are アール・ビー・コントロールズ㈱他 国内子会社, 建物、金型、機械及び器具等, 2,075 million yen (US$12.7 million) with 455 million yen (US$2.8 million) paid; and 上海林内有限公司他 在外子会社, segments アメリカ、オーストラリア、中国、韓国、インドネシア及びその他, 8,633 million yen (US$52.7 million) with 2,508 million yen (US$15.3 million) paid. For every other line the capacity column reads (注), and the note reads 完成後の増加能力は、生産品目が多岐にわたっており合理的に算出することが困難なため、記載を省略しております, omitted because the range of products makes it difficult to calculate reasonably.
The 75th report's plan table on page 30, as of 2025年３月31日現在, had six lines, none of them for 土地. Its parent lines were 大口工場他 金型 1,878 million yen (US$11.5 million) with 5 million yen (US$0.03 million) paid, 機械、器具等 3,779 million yen (US$23.1 million) with 34 million yen (US$0.21 million) paid, 建物、構築物 1,058 million yen (US$6.5 million) with 294 million yen (US$1.8 million) paid, and 関東支社他 (東京都品川区) 建物、構築物 2,433 million yen (US$14.9 million) with 1,419 million yen (US$8.7 million) paid; then 国内子会社 2,101 million yen (US$12.8 million) with 319 million yen (US$1.9 million) paid and 在外子会社 8,328 million yen (US$50.8 million) with 3,471 million yen (US$21.2 million) paid, each from March 2025 to March 2026. The Seto land line of the 76th table has its own note elsewhere in the report. 重要な後発事象, significant subsequent events, on page 109, headed 重要な設備投資, records that at a board meeting on 2026年５月19日 the company resolved 瀬戸工場の隣地にて新工場用地を取得すること, to acquire land for a new plant adjacent to the Seto plant. The site is 愛知県瀬戸市穴田町990番、991番, its use 高効率給湯機器の製造拠点, a production base for high-efficiency water heaters, the amount 約70億円, about 7,000 million yen (US$42.7 million), the funding 自己資金, the contract date 2026年６月11日 and the handover 2026年10月予定, planned for October 2026. The note ends 2027年３月期の連結業績に重要な影響はありません, no material effect on consolidated results for the year to March 2027. Page 9 dates the plan itself: 2026年度から2030年度を計画年度とする中期経営計画「accelerate 2030」. The existing 瀬戸工場 line in table (1) carries land of 316 million yen (US$1.9 million) on 42,649 square metres.
The twenty-eight lines are the facilities the report selects as 主要な設備; the consolidated figures sit on other pages. The consolidated balance sheet on page 69 prints 有形固定資産合計, total property, plant and equipment, at 152,293 million yen (US$929.7 million) at March 31, 2025 and 157,817 million yen (US$963.5 million) at March 31, 2026, with 建物及び構築物（純額）, buildings net, at 64,736 million yen (US$395.2 million) and 65,957 million yen (US$402.7 million), 土地 at 49,330 million yen (US$301.2 million) and 51,993 million yen (US$317.4 million), リース資産（純額） at 5,465 million yen (US$33.4 million) and 7,757 million yen (US$47.4 million), and 建設仮勘定 at 6,006 million yen (US$36.7 million) and 4,384 million yen (US$26.8 million). The cash-flow statement on page 75 prints 有形固定資産の取得による支出, payments for property, plant and equipment, at 16,843 million yen (US$102.8 million) and 14,889 million yen (US$90.9 million), and 減価償却費 at 15,141 million yen (US$92.4 million) and 15,076 million yen (US$92.0 million). The segment note on pages 105 and 106 prints 有形固定資産及び無形固定資産の増加額, additions to tangible and intangible fixed assets, at 16,858 million yen (US$102.9 million) and 18,026 million yen (US$110.0 million) for the group, with 日本 9,337 million yen (US$57.0 million) and 9,920 million yen (US$60.6 million), アメリカ 264 million yen (US$1.6 million) and 334 million yen (US$2.0 million), オーストラリア 474 million yen (US$2.9 million) and 3,866 million yen (US$23.6 million), 中国 3,482 million yen (US$21.3 million) and 1,520 million yen (US$9.3 million), and note 7, 新規連結に伴う増加額を含んでおりません, excluding additions from new consolidation. The outline's 17,628 million yen (US$107.6 million), the cash-flow statement's 14,889 million yen (US$90.9 million) and the segment note's 18,026 million yen (US$110.0 million) are three measures with three definitions; the desk quotes each and reconciles none. Two more notes bear on how a 帳簿価額 is arrived at. The accounting policies on page 77 state that the filing company and domestic consolidated subsidiaries use 定率法, the declining-balance method, ただし、2007年４月１日以降に取得した建物(建物附属設備を除く。)並びに2016年４月１日以降に取得した建物附属設備及び構築物については定額法, except straight-line for buildings acquired from April 1, 2007 and for building fixtures and structures acquired from April 1, 2016, while overseas subsidiaries 主として定額法, mainly straight-line; useful lives are ７年〜50年 for buildings and structures, ７年〜17年 for machinery and vehicles and ２年〜15年 for tools and fixtures. The rental property note on page 102 says the company and some subsidiaries hold 東京都及びその他の地域において、賃貸用商業施設等（土地を含む。）, commercial rental facilities including land in Tokyo and other regions, and prints the carrying amount at 25,940 million yen (US$158.4 million) at the start of the year, a change of △11,853 million yen (US$72.4 million), 14,086 million yen (US$86.0 million) at the end and a year-end fair value of 17,115 million yen (US$104.5 million), with note 2 naming the main movement as 賃貸等不動産から事業用資産への振替による減少（11,993百万円）, a transfer of 11,993 million yen (US$73.2 million) from rental property to operating assets. The parent's schedule on page 120 prints 土地 at 35,633 million yen (US$217.5 million) at the start of the year, additions of 2,037 million yen (US$12.4 million), reductions of 32 million yen (US$0.20 million) and 37,638 million yen (US$229.8 million) at the end, and 建設仮勘定 at 2,214 million yen (US$13.5 million), additions of 1,281 million yen (US$7.8 million), reductions of 2,076 million yen (US$12.7 million) and 1,419 million yen (US$8.7 million) at the end; the 75th schedule on page 115 had land at 35,678 million yen (US$217.8 million) falling by 45 million yen (US$0.27 million) to 35,633 million yen (US$217.5 million) with no additions.
Method. The desk located the two annual securities reports in the EDINET document-list API for June 25, 2026 and June 24, 2025, retrieved the PDFs through the same API, and read them with pdfplumber: the section 設備の状況 (pages 24 to 26 of the 76th report, 28 to 30 of the 75th), the five-year tables (pages 2 to 3), the history (page 4), 事業の内容 and 関係会社の状況 (pages 5 to 7), the management policy and priority issues (pages 9 to 11), the management analysis (pages 20 to 21), research and development (page 23, and page 27 of the 75th), 従業員の状況 (page 66, and page 8 of the 75th), the consolidated balance sheet (page 69), the cash-flow statement (page 75), accounting policies (page 77), the business combination note (page 100), the rental property note (page 102), the segment note and regional information (pages 105 to 107), subsequent events (page 109) and the parent's fixed-asset schedule (page 120, and page 115 of the 75th). The facility, plan, balance-sheet and schedule tables were read with extract_tables and each column matched to its printed heading; where a cell prints a dash or 大口工場に含む it is quoted so. Every figure is the printed one in millions of yen, every square metre is the printed area, and every rate of change is one the report prints; nothing has been added, subtracted or divided by the desk, and the US dollar figures are conversions at ¥163.8 = US$1 for reference only. Statements that a line appears in one year's table and not the other's describe the tables as extracted.
What would change our mind
The twenty-eight lines are the facilities the report selects as 主要な設備 at the parent and seventeen named subsidiaries; the group has 子会社50社 by page 5, and the consolidated 有形固定資産 of 157,817 million yen (US$963.5 million) on page 69 is a different table with a different scope, so the 合計 column is not a breakdown of that figure and this piece adds no lines together. A 合計 is book value after the depreciation methods on page 77, mainly declining-balance at the parent and domestic subsidiaries with straight-line for buildings acquired from April 1, 2007 and fixtures and structures from April 1, 2016, and mainly straight-line overseas, not a record of spending on the site; the outline's 17,628 million yen (US$107.6 million), the cash-flow statement's 14,889 million yen (US$90.9 million) and the segment note's 18,026 million yen (US$110.0 million) are three measures the desk does not reconcile. The rental property note's transfer of 11,993 million yen (US$73.2 million) to operating assets is quoted as printed; the note does not name the property, and nothing here says which line of the facilities table, if any, it concerns. The 7,000 million yen (US$42.7 million) Seto line is a planned amount as of March 31, 2026 with a dash in the 既支払額 column, and the subsequent-events note reports a contract date of June 11, 2026 and a planned handover of October 2026; whether the handover took place as planned is not in the pages read. The 5 employees on the Rinnai Aoyama line and the 499 on the MT Industrial line are as printed, and the report's note 6 allows an overseas line to be dated at that company's own year-end. The regional lines of the segment note and their 合計 are quoted as printed in millions of yen and have not been added by the desk, so nothing here treats a printed total as the arithmetic sum of the lines. Statements that a line appears in one table and not the other describe the tables as extracted, and an omission may reflect the extraction rather than the report. The three headcounts that match between page 66 and table (3) are equal digits on two pages; the desk has not established that they are the same count. Every rate of change quoted is the report's own, and the desk has not tested any of them.
