Kyocera (6971): The ROE targets for 2028 and 2031 and the printed ROE

Kyocera's Targets: One Ratio, Three Horizons

(2)目標とする経営指標 on page 13 of Kyocera Corporation's annual securities report for the 72nd term, filed June 19, 2026, carries one ratio and three horizons: ROE of 5.0%以上 for 2028年3月期, 8.0%以上 for 2031年3月期 and 10.0%以上 将来的に. The 71st-term report's (2) had carried a medium-term management plan with four numbers for 2026年3月期, 売上高 2兆5,000億円 (US$15,263 million), 税引前利益 3,500億円 (US$2,137 million), 税引前利益率14.0% and ROE 7.0%以上. Page 2 prints ROE of 5.4 / 4.3 / 3.2 / 0.7 / 4.3 percent for the 68th to 72nd terms, page 28 net sales of 2,070,203百万円 (US$12,638.6 million) and profit before income taxes of 168,994百万円 (US$1,031.7 million), and page 29 a pre-tax margin of 8.2 percent; beside the ROE target the item sets ROIC as a new business-evaluation indicator, a ratio of strategic shareholdings to net assets of under 20 percent by around March 2031, and DOE with a progressive dividend from the next fiscal year.

1【経営方針、経営環境及び対処すべき課題等】, the item on management policy, environment and issues to be addressed in the annual securities report of Kyocera Corporation for its 72nd fiscal year, April 1, 2025 to March 31, 2026, filed on EDINET on June 19, 2026, runs from page 13 to page 14 of 182. It opens 第2【事業の状況】 and has three numbered parts: (1)経営の基本方針, (2)目標とする経営指標 and (3)経営環境及び優先的に対処すべき事業上の課題. The targets are in (2), which is two sentences long, and the first of them carries one ratio and three horizons: two fiscal years and an undated future.

当社は、企業価値向上に向けて、ROEの改善を主要経営課題と位置づけ、2028年3月期(2027年4月1日から2028年3月31日まで)には5.0%以上、2031年3月期(2030年4月1日から2031年3月31日まで)には8.0%以上、また、将来的には10.0%以上の達成を図ります — the company positions the improvement of ROE as its principal management issue toward raising corporate value and will work to achieve 5.0 percent or more in the fiscal year ending March 2028, 8.0 percent or more in the fiscal year ending March 2031 and, in the future, 10.0 percent or more. The second sentence is 併せて、時価総額のさらなる増大を目指してまいります, that it also aims at a further increase in market capitalisation; no figure is attached to it, and none is supplied here. The three ROE thresholds are printed with 以上, or more, and the third has no year.

The 71st-term report, filed June 20, 2025, carried a different (2), on page 16 of 176. 当社は、2024年3月期から2026年3月期までの中期経営計画(2026年3月期売上高 2兆5,000億円、税引前利益 3,500億円、税引前利益率14.0%、ROE 7.0%以上)を策定しましたが、部品事業の低迷を主因に遅れが生じています — the company drew up a medium-term management plan for the fiscal years ending March 2024 to March 2026, with net sales of 2,500 billion yen (US$15,263 million), profit before income taxes of 350 billion yen (US$2,137 million), a pre-tax margin of 14.0 percent and ROE of 7.0 percent or more for the fiscal year ending March 2026, but a delay has arisen, mainly from the slump in the components business. Its second sentence kept two aims, 二桁の税引前利益率の達成及び持続的な向上、並びにROEの改善, a double-digit pre-tax margin and an improvement in ROE. Between the two reports, then, (2) went from four numbers for one year to one ratio for three horizons, and in the text pdfplumber extracted from all 182 pages of the 72nd-term report the phrase 中期経営計画 does not occur.

What the 72nd-term report prints for the year the old plan named is on pages 28 and 29, under 4【経営者による財政状態、経営成績及びキャッシュ・フローの状況の分析】. The table on page 28 gives 売上高 of 2,070,203百万円 (US$12,638.6 million) against 2,014,454百万円 (US$12,298.3 million), an increase of 55,749百万円 (US$340.3 million) or 2.8 percent, and 税引前利益 of 168,994百万円 (US$1,031.7 million) against 63,631百万円 (US$388.5 million), an increase of 105,363百万円 (US$643.2 million) or 165.6 percent, with 売上高比 of 8.2 and 3.2 percent. Page 29 spells the margin out: 当連結会計年度の税引前利益率は前連結会計年度の3.2%から5.0ポイント上昇し、8.2%となりました. The 71st-term report's page 32 had printed the earlier step, 6.8%から3.6ポイント減少し、3.2%. The old plan's four figures and the year's four printed figures are placed side by side here; no gap between them is computed.

The report's own account of the profit figures is on page 28. 利益については、前連結会計年度にコアコンポーネントセグメントで減損損失等を計上した一方、当連結会計年度の子会社譲渡益、増収効果及び構造改革の進展等により、営業利益及び税引前利益は大幅な増益となりました — as to profit, while impairment losses and other items were recorded in the core components segment in the prior consolidated fiscal year, operating profit and profit before income taxes rose substantially in the current one on the gain on the transfer of a subsidiary, the effect of higher sales and progress in structural reform. Page 28 prints 営業利益 of 118,138百万円 (US$721.2 million) against 27,299百万円 (US$166.7 million), and page 29 the operating margin, 1.4%から4.3ポイント増加し、5.7%.

ROE itself is a row of the five-year table 1【主要な経営指標等の推移】 on page 2, under the name the report uses for it, 親会社の所有者に帰属する持分当期利益率. The row reads 5.4 / 4.3 / 3.2 / 0.7 / 4.3 percent for the 68th to 72nd terms, the fiscal years ending March 2022 to March 2026. The same table prints 税引前利益 of 198,947 / 176,192 / 136,143 / 63,631 / 168,994百万円 (US$1,214.6 million, US$1,075.7 million, US$831.2 million, US$388.5 million, US$1,031.7 million) and 親会社の所有者に帰属する当期利益 of 148,414 / 127,988 / 101,074 / 24,097 / 140,969百万円 (US$906.1 million, US$781.4 million, US$617.1 million, US$147.1 million, US$860.6 million). Note 1 states that the consolidated statements are prepared under IFRS with amounts rounded to the nearest million yen; note 3 that a four-for-one share split took effect on January 1, 2024. The 71st-term report's page 2 printed the row one term earlier, 3.6 / 5.4 / 4.3 / 3.2 / 0.7 for the 67th to 71st terms.

The place where the report says ROE is the measure it watches is not the policy item but the notes. 32.金融商品 (1)資本管理 on page 138 states the capital-management policy and then: また、当社は資本効率の判断指標として親会社の所有者に帰属する持分当期利益率(ROE)も重要であると捉え、その持続的な向上に取り組んでいます — the company also regards ROE as an important indicator for judging capital efficiency and is working on its sustained improvement. A two-column table follows, 親会社の所有者に帰属する持分当期利益率(ROE) 0.7 and 4.3 for the prior and current consolidated fiscal years. The same note on page 139 of the 71st-term report printed 3.2 and 0.7.

FIG. 3 — TARGET ADVANCE MECHANISM (SECTION) DWG. D-0409 PARTS LIST ① Drive wheel ···· recd ② Step-up gear ··· recd ③ Detent gear ···· recd ⑦ Stop pawl ······ — ② ⑦ ① ③ 1/yr seat machined; part not supplied Issued Rev. 47 · ⑦ recd 0 · seats machined 47 · 9,428 days since Rev. 1
Revision 48 is scheduled for next year. It moves Part 7 to the recommended-spares list.

The second indicator the item names is new. In (3), after two sentences on the AI-related market and the company's core technologies, comes また、重点領域へ注力するためには、継続的な事業ポートフォリオの適正化が必要不可欠となることから、事業評価指標として新たにROIC(投下資本利益率)を導入し、収益性及び資本効率の改善を進め、企業価値の向上を目指します — since continual optimisation of the business portfolio is indispensable for concentrating on priority areas, the company newly introduces ROIC, return on invested capital, as a business-evaluation indicator and will pursue improvements in profitability and capital efficiency toward raising corporate value. In the extracted text of the 72nd-term report the string ROIC appears three times, twice on page 13 and once on page 21 in the 主要な対応策 of 3【事業等のリスク】, each time as a method of judgement; no ROIC figure is printed beside any of the three.

a. 事業ポートフォリオマネジメントの強化, the first of the three issues under (3), says when the new measure starts. そのため当社は、翌連結会計年度より、従来のアメーバ経営に基づく採算管理に加え、将来性・持続性・事業競争力・市場魅力度等の定性評価及びROICを基準とする判断を基に、成長・注力領域の設定や事業ポートフォリオの評価、戦略立案を実施することとしました — from the next consolidated fiscal year, in addition to the profitability management based on the company's Amoeba Management, it will set growth and focus areas, evaluate the business portfolio and draw up strategy on the basis of qualitative assessments of future prospects, sustainability, competitiveness and market attractiveness and of judgements with ROIC as the criterion. The next sentence adds an organisation: 本年4月に経営企画室を新設しました, a corporate planning office newly established this April. The paragraph then assigns roles, the components business of the core components and electronic components segments as 中長期的な成長牽引役, the driver of medium- to long-term growth, and the solutions business as 継続的な安定利益を創出する事業, the business that generates continuous stable profit.

The year's figures for those segments are on page 30, under j. レポーティングセグメント別営業概況. For コアコンポーネント: 事業利益は、同64,971百万円増加し、63,082百万円となり、利益率は9.7%となりました, business profit of 63,082百万円 (US$385.1 million), up 64,971百万円 (US$396.6 million), a margin of 9.7 percent. For 電子部品: 7,316百万円 (US$44.7 million), up 8,134百万円 (US$49.7 million), a margin of 2.0 percent. For ソリューション: 103,943百万円 (US$634.6 million), up 30,247百万円 (US$184.7 million) or 41.0 percent, 利益率は6.8%から9.7%へ向上しました. The table on page 31 also carries a row for その他の事業, a loss printed as △41,168百万円 (−US$251.3 million) against △46,990百万円 (−US$286.9 million), and closes with 事業利益計 of 133,173百万円 (US$813.0 million) against 23,999百万円 (US$146.5 million), a 売上高比 of 6.4 against 1.2 percent, with 本社部門損益等 and 税引前利益 below it; no sum of the segment rows is written here.

b. 資本政策の推進 holds the item's other dated numbers. (a)政策保有株式の縮減: 当社が保有するKDDI㈱の株式について、当連結会計年度と翌連結会計年度で合計約5,000億円を売却するとともに、政策保有株式の純資産比率を、2031年3月期末を目途に20%未満に縮減する計画です — the plan is to sell a total of about 500 billion yen (US$3,053 million) of the KDDI shares the company holds over the current and next consolidated fiscal years and to reduce the ratio of strategic shareholdings to net assets to under 20 percent by around the end of the fiscal year ending March 2031. In the current year about 108 million shares, about 250 billion yen (US$1,526 million), were bought by KDDI in its tender offer for its own shares, and the ratio at the end of March 2026 was 48.3 percent; for the next year the item records a further tender of about 54 million shares, about 124.8 billion yen (US$762 million). (5)【株式の保有状況】 on page 74 restates the 20 percent plan as 新たな定量目標, a new quantitative target, after the earlier one, 2026年3月期までに簿価の5%以上を縮減すること, against which it prints 約18%を縮減しました.

(b)株主還元の充実化 introduces a third measure, for dividends. 翌連結会計年度以降はDOE(株主資本*に対する配当金の比率)を配当指標に用いるとともに、1株当たり配当金を維持もしくは増額する累進配当を採用します — from the next consolidated fiscal year the company will use DOE, dividends to shareholders' equity, as its dividend indicator and adopt a progressive dividend that maintains or raises the dividend per share. The asterisk defines the denominator: 株主資本 is 親会社の所有者に帰属する持分 less その他の資本の構成要素, the equity attributable to owners of the parent excluding the other components of equity whose movements with share prices and exchange rates are large. The same paragraph records a buyback of 約91百万株(2,000億円) (US$1,221 million) under a 200 billion yen (US$1,221 million) ceiling resolved on May 14, 2025 and executed from May 15, 2025 to March 12, 2026, a new ceiling of 2,500億円 (US$1,526 million) resolved on April 30, 2026, and the sentence that from the fiscal year ending March 2029 onward the company plans to buy back shares after also considering the allocation to growth investment aimed at raising ROE. (c)自己株式の消却 adds that a cancellation down to the holding level the company considers appropriate was carried out in the next fiscal year.

3【配当政策】 on page 55 fixes the point at which the measure changes. 配当につきましては、当連結会計年度の期末配当までは、連結業績の「親会社の所有者に帰属する当期利益」の範囲を目安とすることを原則とし、連結配当性向を50%程度の水準で維持する配当方針に基づき配当を実施致します — up to the year-end dividend of the current consolidated fiscal year, dividends are paid under the policy of keeping the consolidated payout ratio at around 50 percent. The 72nd term's two dividends are printed as 25円 (US$0.15) per share, 34,567百万円 (US$211.0 million), by board resolution of October 30, 2025, and 27円 (US$0.16) per share, 35,570百万円 (US$217.2 million), by the general meeting of June 25, 2026 marked (予定); page 55 also repeats the wording on DOE and the progressive dividend from page 14, with なお、 added at the start of the sentence. The 71st-term report's page 57 had the same around-50-percent policy and two dividends of 25円 (US$0.15), 35,219百万円 (US$215.0 million) each.

当社は、企業価値向上に向けて、ROEの改善を主要経営課題と位置づけ、2028年3月期(2027年4月1日から2028年3月31日まで)には5.0%以上、2031年3月期(2030年4月1日から2031年3月31日まで)には8.0%以上、また、将来的には10.0%以上の達成を図ります — the company positions the improvement of ROE as its principal management issue and will work to achieve 5.0 percent or more in the fiscal year ending March 2028, 8.0 percent or more in the fiscal year ending March 2031 and, in the future, 10.0 percent or more. (2)目標とする経営指標 on page 13 of the 72nd-term report; the 71st-term report's page 16 had carried 中期経営計画(2026年3月期売上高 2兆5,000億円、税引前利益 3,500億円、税引前利益率14.0%、ROE 7.0%以上) with net sales equivalent to US$15,263 million and profit before income taxes equivalent to US$2,137 million at ¥163.8 = US$1, and 遅れが生じています.

Officers' pay, (4)【役員の報酬等】 on pages 71 to 73, uses one indicator for directors' bonuses and performance-linked restricted-share remuneration, 親会社の所有者に帰属する当期利益; the indicators discussed above serve the management target, business evaluation and dividend policy. Note 2 to the table on page 71: 取締役賞与に係る業績指標は親会社の所有者に帰属する当期利益であり、その実績は140,969百万円です — the performance indicator for directors' bonuses is profit attributable to owners of the parent, and the result was 140,969百万円 (US$860.6 million); the reason the report gives for choosing it is 配当との連動性を明確にし、株主との利害関係を一致させるためです, to make the link with dividends clear and align interests with shareholders. The table prints 業績連動報酬等(取締役賞与) of 192百万円 (US$1.2 million) to seven directors. Page 73 states that the performance-linked restricted-share remuneration uses the same indicator and method as the bonus, and note 3 on page 71 that none was paid for the current fiscal year. The string ROE does not occur in the extracted text of pages 71 to 73.

2022/3 2023/3 2024/3 2025/3 2026/3 2027/3 2028/3 2029/3 2030/3 2031/3 0 2 4 6 8 10 12 将来的には10.0%以上 — no year printed ROE 7.0%以上 · 71st-term plan, p. 16 2028年3月期 5.0%以上 2031年3月期 8.0%以上 5.4 4.3 3.2 0.7 4.3 printed ROE, p. 2 72nd-term threshold (以上), p. 13 71st-term plan threshold, S100W0VP p. 16 [ ROE, %, as printed; fiscal years ending March; S100YF47 pp. 2, 13 and S100W0VP p. 16 ]
ROE as the 72nd-term annual securities report of Kyocera Corporation (S100YF47, filed June 19, 2026) prints it, on one time axis. Filled dots are the row 親会社の所有者に帰属する持分当期利益率 of the five-year table on page 2: 5.4, 4.3, 3.2, 0.7 and 4.3 percent for the 68th to 72nd terms, the fiscal years ending March 2022 to March 2026. Hollow red dots are the thresholds in (2)目標とする経営指標 on page 13: 5.0%以上 for 2028年3月期 and 8.0%以上 for 2031年3月期; the dashed line is the third threshold, 将来的には10.0%以上, which the report prints without a year. The hollow grey dot is the threshold the 71st-term report (S100W0VP, filed June 20, 2025) printed on page 16 as part of its medium-term management plan, ROE 7.0%以上 for 2026年3月期. Each mark is a printed value; no gap, ratio or rate of achievement is computed.

c. コーポレート・ガバナンスの強化, the third issue, carries a date rather than a number. 当社は、取締役会の監督機能の強化ならびに審議の充実を図るべく、2026年2月2日開催の取締役会において、監査等委員会設置会社への移行を2026年6月25日開催予定の第72期定時株主総会に付議することを決議しました — at its board meeting of February 2, 2026 the company resolved to put the transition to a company with an audit and supervisory committee to the 72nd ordinary general meeting scheduled for June 25, 2026. The board after the transition is to be a monitoring board on which independent outside directors are a majority, with an asterisk, 第72期定時株主総会で関連議案が承認可決された場合, if the related proposals are approved. The report is dated six days before that meeting.

The item's environmental counterpart sits in 2【サステナビリティに関する考え方及び取組】, d. 指標及び目標 on pages 15 and 16. The long-term targets print as a list: 温室効果ガス排出量(Scope1,2)削減目標(1.5℃水準):2031年3月期46%削減(2020年3月期比), the same 46 percent cut for Scope 1, 2 and 3, 再生可能エネルギー由来電力使用割合:2031年3月期RE60, and 2051年3月期カーボンニュートラル. The text above the list records a target reached early: the aim of raising renewable-energy introduction twentyfold from the fiscal year ending March 2014 by the fiscal year ending March 2031 was achieved ahead of schedule in the fiscal year ending March 2025, and a new target, 60 percent or more renewable-derived electricity by the fiscal year ending March 2031, was set in its place.

Set beside the 71st-term item, the 72nd changes in more places than (2). (1)経営の基本方針 ends 企業価値向上を目指します where it ended 持続的な売上拡大と高い収益性の実現を目指しています, and the judgement standard is quoted as 「人間として何が正しいのか」 where it was 「人間として何が正しいか」. The heading of (3) gains the words 優先的に and 事業上, and the three issues beneath it change from ① 経営改革による高収益企業への回帰, ② 資本戦略の見直し and ③ サステナブル経営の推進 to a. 事業ポートフォリオマネジメントの強化, b. 資本政策の推進 and c. コーポレート・ガバナンスの強化. The 71st-term ① had named 2026年3月期 as 構造改革期 and an 経営改革プロジェクト with outside directors and an outside consulting firm as advisers; in the extracted text of the 72nd-term item, 経営改革プロジェクト occurs once, in the disclosure title listed under c., 2026年2月3日開示 「経営改革プロジェクト進捗報告」P.28-31, and 構造改革期 does not occur; the 72nd-term a. describes ROIC-based business evaluation and the establishment of the 経営企画室. The heading ③ サステナブル経営の推進 has no counterpart heading, but its governance sentence, 取締役会や指名報酬委員会の多様性の追求や実効性の向上、役員報酬体系の見直し等について継続検討し, is printed again under c. コーポレート・ガバナンスの強化 on page 14.

Read in order, the item can be taken in three layers. The first is the target: one ratio, ROE, with 5.0 percent or more in the fiscal year ending March 2028, 8.0 percent or more in the fiscal year ending March 2031 and 10.0 percent or more later. The second is the printed measure: the row on page 2 at 4.3 percent for the 72nd term and the note on page 138 that calls the ratio the indicator of capital efficiency. The third is the set of mechanisms the item attaches to the target, each with its own measure: ROIC for the business portfolio from the next fiscal year, a ratio of strategic shareholdings to net assets of under 20 percent by around March 2031, DOE and a progressive dividend from the next fiscal year, and a buyback ceiling of 2,500億円 (US$1,526 million) resolved on April 30, 2026. Each is as printed; the report attaches no intermediate ROE figure to the years between 2026 and 2028.

What would change our mind

The three ROE thresholds in (2) are printed with 以上, or more, and the item attaches no figure to the years between the 72nd term and 2028年3月期 in the pages read; nothing here measures 4.3 percent against 5.0 or 7.0 percent or computes a gap or a rate of achievement, and comparing the wording of (2) in the two reports does not establish what became of the 71st-term plan's four numbers. The old plan's figures and the year's printed figures are placed side by side; the 71st-term report itself had already recorded 遅れが生じています. The ROE row on page 2 and the ROE table on page 138 are the company's computed ratios under IFRS and are quoted as printed; how the denominator is defined for the targets in (2) is not spelled out on page 13, and the DOE denominator on page 14 excludes その他の資本の構成要素 while the ROE name on page 2 is 親会社の所有者に帰属する持分当期利益率. The statements that 中期経営計画 does not occur in the 72nd-term report, that ROIC appears three times without a figure, that ROE does not occur on pages 71 to 73, that 構造改革期 does not occur in the 72nd-term item, that the heading ③ サステナブル経営の推進 has no counterpart heading there although its governance sentence is printed again under c., and that 経営改革プロジェクト occurs there once, as a disclosure title, are statements about text pdfplumber extracted with x_tolerance=1; a passage the extraction dropped would not be caught. The pay indicator, 親会社の所有者に帰属する当期利益, is the reason the report gives; nothing here infers why ROE is absent from the pay pages. The sentence on 時価総額 is quoted without any market figure, and no share price, market capitalisation or valuation is used. The amounts of 2,500 billion yen (US$15,263 million), 350 billion yen (US$2,137 million), 500 billion yen (US$3,053 million), 250 billion yen (US$1,526 million), 124.8 billion yen (US$762 million), 200 billion yen (US$1,221 million) and 250 billion yen (US$1,526 million) are converted to US dollars at one rate, ¥163.8 = US$1, for reference; the dollar figures are not in the report.
